Revenue increased 4.0% (approximately 4.6% at constant currency); operating income increased 9.7%; operating margin improved 0.7 percentage points. The reported 2023 net income included a $971.8 million income-tax benefit, primarily reflecting a $1,014.0 million non-cash release of most of the domestic deferred-tax valuation allowance. Net income growth therefore does not represent comparable growth in underlying operating performance. Cost of revenue was 37.0% of revenue, implying a 63.0% gross margin, compared with 36.3% and 63.7% in 2022.
Operating cash flow rose 6.9%. Investing activities used $102.4 million and financing activities used $1,261.7 million, including $1,270.2 million of cash share repurchases. Cash declined by $315.2 million during the year. The company reported $998.8 million available on its revolving facility and no revolver borrowings at year-end; it was in compliance with debt covenants. Management expects cash and cash generated from operations to cover anticipated operating needs for at least 12 months.
Segments and material changes
- A&C: Revenue rose 11.8% to $1,430.4 million, led by productivity/email solutions, website products and 54.0% growth in commerce-related revenue. Segment EBITDA increased 13.7% to $594.2 million.
- Core Platform: Revenue increased 0.4% to $2,823.7 million. Domain-related revenue grew 4.1%, while hosting revenue fell 7.8%, primarily due to product end-of-life migrations and divestiture of hosting assets. Segment EBITDA increased 4.2% to $816.4 million.
- Bookings grew 4.3%; management cited adoption of productivity and Websites + Marketing products, partly offset by lower hosting bookings and uneven demand amid inflation and economic uncertainty. ARR rose to $3,729.3 million from $3,570.1 million. Customer count increased to 21.0 million from 20.9 million; reported retention was approximately 85% overall and 92% for customers with more than three years’ tenure.
- Marketing and advertising expense fell 14.4% to $352.9 million, reflecting reduced discretionary spending and workforce reductions. Technology and development expense increased 5.7% to $839.6 million.
Outlook, risks and unusual items
The 10-K provides no formal revenue or earnings guidance. Management expects technology and development expense to decline as a percentage of revenue as investment and infrastructure migration progress. It continues to invest in product development, international operations and AI offerings, including the U.S. launch of GoDaddy Airo in 2023. These plans and expectations are forward-looking and subject to risk.
- 2023 restructuring and other charges were $90.8 million. Restructuring included workforce reductions announced in February affecting approximately 550 employees and additional third-quarter reductions affecting approximately 250; $7.4 million of restructuring costs remained accrued at year-end. The company also recognized a $16.5 million loss on disposition of hosting assets and paid $17.0 million to terminate a revenue-sharing agreement.
- Debt totaled $3.876 billion before unamortized discounts and issuance costs. Variable-rate term loans had effective rates of 7.4% and 8.4% at year-end; interest expense increased 22.4% to $179.0 million. Interest-rate swaps hedge portions of floating-rate debt. In January 2024, the company refinanced its 2029 term loans at a lower stated margin.
- Management and the auditor identified a material weakness in income-tax accounting controls, including management review and completeness and accuracy of information used in those controls. Management concluded internal control over financial reporting was ineffective at December 31, 2023; the auditor issued an adverse opinion on internal controls. The weakness did not result in identified material financial-statement misstatements, and remediation is in development.
- Key risks include competition, weaker small-business demand, execution of restructuring and hosting consolidation, cybersecurity and service interruptions, reliance on AWS and other vendors, privacy and AI regulation, foreign currency and interest-rate exposure, and substantial debt. The filing describes prior security incidents and continuing regulatory inquiries, including FTC inquiries related to earlier incidents.
- A shareholder derivative suit concerning the 2020 tax-receivable-agreement settlements was stayed while a board special litigation committee investigates. A previously disclosed TCPA class-settlement appeal remains pending. The filing says outcomes of proceedings are uncertain.
