Revenue was nearly flat year over year, while operating expenses rose 7.6% to $173.5 million. Net income fell 19.4%; net margin was 14.4%, versus 18.0% a year earlier. Interest expense increased to $4.8 million from $1.5 million. The effective tax rate declined to 36.8% from 38.0%, partly due to reinstated general business tax credits.
Cash from operations decreased year over year. Investing used $25.3 million, primarily for property and equipment and net purchases of securities; financing used $78.1 million, including decreases in customer deposits and customer obligations, scheduled debt repayment, and $9.0 million of stock repurchases. The filing identifies $739.8 million of unrestricted cash as the primary liquidity source and says cash, operating cash flow, and borrowing capacity are expected to cover needs for at least 12 months. The $75 million revolving facility was undrawn; Green Dot reported compliance with debt covenants.
Material changes versus the prior period
- Card revenues and other fees increased 5% to $91.9 million, supported by higher revenue per active card; active cards declined to 4.75 million from 5.38 million.
- Processing and settlement service revenue declined 7% to $81.0 million. Cash transfers fell to 9.71 million from 10.09 million, and tax refunds processed fell to 8.18 million from 8.52 million.
- Other general and administrative expense rose 36% to $38.1 million. The prior-year comparison included a $7.6 million favorable contingent-consideration fair-value adjustment; no such adjustment was recorded in Q1 2016. Higher depreciation and amortization and professional expenses also contributed.
- Sales and marketing expense rose 4%, including higher Walmart commissions and launch costs for new card products. Processing expense fell 7%, partly due to processor and payment-network incentives.
- Gross dollar volume grew to $6.6 billion from $6.4 billion; purchase volume was $4.7 billion in both periods.
Outlook, commentary, risks, and unusual items
- Management expects the new prepaid card suite to contribute more revenue during 2016 but says its ultimate impact is difficult to predict. An enhanced MoneyPak PIN product relaunched at certain retailers in April 2016, with further rollout planned during the year; the impact remains uncertain.
- Management expected first-half 2016 tax refunds processed to be consistent with the prior year, citing timing-related year-over-year weakness in Q1. Tax refund processing is seasonal, with most revenue generated in the first half.
- Management anticipated materially higher sales and marketing costs during the first half of 2016 from the increased Walmart commission rate and rollout-related manufacturing and distribution costs. The Walmart MoneyCard agreement runs through May 2020, with an automatic renewal provision subject to terms.
- After quarter-end, an April 2016 accelerated share repurchase became effective: Green Dot paid $50 million for an initial delivery of approximately 1.9 million shares; final settlement was scheduled for Q4 2016. The filing said $50 million remained authorized for repurchases and management expected to repurchase that amount in 2017.
- Key exposures include Walmart concentration (36% of Q1 revenue), reliance on major retail and tax-preparation partners, competition, fraud and customer overdrafts, settlement and cybersecurity risks, regulatory change, and seasonal variability. Four largest retailers accounted for 55% of GPR card activations and 74% of cash-transfer product sales.
- The CFPB prepaid-account rule was still proposed; the company cited an anticipated final rule in spring 2016 and uncertainty over its effects. The IRS was examining federal returns for 2009–2012; the filing reports $8.3 million of unrecognized tax benefits. Ordinary-course legal matters had no recorded reserves because losses were not considered probable and estimable.
- Green Dot reported a $0.1 million internal-use software impairment charge and no other-than-temporary investment-security impairment. It reported no material change in internal control over financial reporting and said disclosure controls were effective.
Important facts for investors to verify
- Whether new prepaid products and the MoneyPak relaunch improve active-card trends and cash-transfer volumes enough to offset higher commissions and rollout costs.
- Whether operating expenses—especially general and administrative expense—and margins stabilize after the prior-year contingent-consideration comparison effect.
- Whether tax-refund volumes recover as management expected, accounting for seasonality and IRS processing timing.
- The final share count and average price on the April 2016 ASR, remaining repurchase authorization, and effects on liquidity and per-share results.
- Walmart and other partner concentration, changes to partner agreements, regulatory developments, and any material outcomes from tax examinations or legal proceedings.
