Material changes versus the prior comparable period

  • Revenue declined primarily because Optical Communications customers reduced orders while drawing down inventories. Life Sciences also declined because of lower COVID-related demand and customer inventory reductions.
  • Display Technologies benefited from higher panel-maker utilization and price increases in the second half of 2023.
  • Environmental Technologies grew on stronger automotive demand, including gasoline particulate filter adoption in China.
  • Management raised prices, pursued productivity improvements and normalized inventory levels. These actions improved gross margin percentage during the year, although full-year margin remained below 2022.
  • Restructuring, impairment and other charges increased to $471 million from $414 million, primarily reflecting severance, facility and product-line exits, asset write-offs and related costs. The year-end severance accrual was $118 million.
  • Corning issued €300 million of 3.875% notes due 2026 and €550 million of 4.125% notes due 2031, receiving approximately $918 million of net proceeds. It also repurchased approximately $100 million of yen-denominated notes.
  • No shares were repurchased under the $5 billion 2019 authorization in 2023. Approximately $3.3 billion remained available at year-end.

Liquidity, debt and cash deployment

  • Working capital increased to $2.893 billion from $2.278 billion, and the current ratio improved to 1.7 from 1.4.
  • Corning had $1.779 billion of cash, no commercial paper outstanding and no borrowings under its $1.5 billion revolving credit facility. Available credit capacity also included approximately $110 million under Chinese yuan facilities.
  • Approximately $320 million of debt matures within one year and approximately $1.4 billion matures over the next five years. Management stated that liquidity is sufficient for foreseeable operating needs, capital expenditures, debt repayment, dividends and share repurchases.
  • Dividends paid were $989 million in 2023. The board declared a quarterly dividend of $0.28 per share beginning in the first quarter of 2024.
  • Management expects 2024 capital expenditures to be lower than 2023.
  • Pension plans were 81% funded at year-end. The company expects approximately $11 million of international pension contributions in 2024.

Guidance, outlook and management commentary

Corning expects core net sales of approximately $3.1 billion for the first quarter of 2024. Management stated that demand in most markets remained temporarily depressed by supply-chain corrections and macroeconomic conditions, but expects markets to normalize over the medium term. Identified growth drivers include wireless, broadband, 5G, cloud computing, artificial intelligence, larger displays, tighter emissions regulations and demand for advanced cover materials.

Management believes Corning has competitively advantaged positions, production capacity and technical capabilities to capture future growth. However, the filing does not provide full-year 2024 GAAP earnings guidance or a clear full-year revenue outlook.

Risks, contingencies and unusual items

  • Key risks include cyclical and concentrated customer demand, pricing pressure, display-glass dependence, supply-chain disruptions, inflation, energy and raw-material costs, foreign-exchange volatility, geopolitical tensions and trade restrictions.
  • Three customers represented 44% of Display Technologies sales; two customers represented 44% of Specialty Materials sales; and three customers represented 68% of Environmental Technologies sales.
  • A 10% adverse movement in quoted foreign-currency rates could produce an estimated $600 million loss in fair value on exposed derivatives and foreign-denominated debt, although management expects hedges to largely offset the underlying exposure.
  • Corning is appealing South Korean tax assessments and refund claims for tax years 2010 through 2019. A $261 million non-current receivable was recorded for disputed amounts deposited with the South Korean government.
  • Environmental reserves were approximately $88 million at December 31, 2023, compared with $109 million in 2022. Corning is associated with 19 hazardous-waste sites.
  • Management stated that the ultimate disposition of significant litigation and claims is not expected to have a material adverse effect, although litigation outcomes remain uncertain.
  • The company recorded $186 million of government incentives in net income during 2023.
  • Corning reported effective disclosure controls and effective internal control over financial reporting. The auditor identified income-tax receivables related to the South Korean disputes as a critical audit matter.

Investor verification checklist

  • Verify the reconciliation of GAAP net income of $581 million to core net income of $1.463 billion, particularly the $471 million of restructuring, impairment and other charges and the $744 million constant-currency adjustment.
  • Assess whether Optical Communications order rates and customer inventory reductions are stabilizing, and whether expected broadband, 5G, cloud and artificial-intelligence demand converts into revenue.
  • Monitor Display Technologies pricing, panel utilization and the segment’s contribution to consolidated profitability and cash flow.
  • Review debt maturities, foreign-exchange hedge effectiveness and the impact of the 2023 euro debt issuance on leverage and interest expense.
  • Evaluate cash conversion after capital expenditures, dividends and required debt or pension payments.
  • Track the South Korean tax appeals, environmental matters and the January 2024 settlement of Dow Corning Chapter 11-related matters.
  • Compare actual first-quarter 2024 core sales with management’s approximately $3.1 billion outlook and monitor whether 2024 capital expenditures decline as expected.
