Genius Group Ltd annual report, Q4 FY2023

Genius Group Limited — FY2023 Form 20-F

Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter report. The consolidated financial statements are audited and prepared under IFRS. Unless stated otherwise, amounts below are U.S. dollars.

Business context

Genius Group operates education and EdTech businesses, including its GeniusU platform, and reported early-learning, school, investment-education and film activities. Entrepreneur Resorts was spun off in October 2023; University of Antelope Valley (UAV) was included in the 2023 results but was subsequently ordered to cease instruction and is being closed.

The audited 2023 results include subsidiaries from their applicable consolidation dates and campus revenue through the spin-off. Separate, unaudited pro forma figures include FatBrain AI as though it were part of the group for 2023 and exclude Entrepreneur Resorts; they are not the audited results. FatBrain’s acquisition closed in 2024.

Audited revenue rose about 27%, with education revenue up 37% to $18.6 million; campus revenue was $4.5 million, down from $4.6 million. In-person education revenue increased to $10.2 million from $5.5 million, while digital education revenue was $8.4 million versus $8.0 million.

At year-end, cash and cash equivalents were $0.6 million, with a further $0.7 million classified as restricted cash. Current assets were $9.6 million and current liabilities $17.2 million, a working-capital deficit of approximately $7.6 million. Total assets were $43.2 million, total liabilities $23.5 million and equity $19.7 million. The filing reports no convertible debt outstanding at year-end; loans payable were $2.7 million and short-term debt was $0.1 million. Related-party loan/payable balances were also reported.

The 2023 net loss was substantially affected by a $32.8 million gain from revaluation of contingent liabilities and $15.4 million of impairment charges. The company reported $3.7 million of net interest expense. The reported net-loss improvement versus 2022 should therefore be considered alongside these non-operating and non-cash items.

The unaudited 2023 pro forma figures, including FatBrain and excluding Entrepreneur Resorts, show revenue of $70.4 million, gross profit of $17.0 million (24% margin), operating loss of $30.4 million, net loss of $0.8 million and Adjusted EBITDA of $(6.8) million. FatBrain accounts for $51.8 million of the pro forma revenue; these figures are not directly comparable to audited historical results.

Material changes versus the prior period

  • Audited revenue increased, while operating losses narrowed; cash used in operations increased from $7.4 million to $12.4 million.
  • Impairment losses fell to $15.4 million from $28.2 million. The $32.8 million 2023 gain on contingent-liability revaluation contrasted with a $13.8 million loss in 2022.
  • Cash and cash equivalents declined to $0.6 million from $5.7 million. Total liabilities fell to $23.5 million from $77.3 million, including the elimination of year-end convertible debt and a reduction in contingent liabilities.
  • Shares outstanding increased to 73.9 million from 27.7 million, largely following conversion of convertible debt into shares. The filing also reports a prior-period restatement, including foreign-currency translation changes and a reclassification between accrued expenses and contract liabilities.

Outlook, risks and unusual items

  • Going concern: Management and the auditor identify substantial doubt about the group’s ability to continue as a going concern, citing the 2023 operating cash outflow, working-capital deficit and accumulated deficit of approximately $59.1 million. The statements remain prepared on a going-concern basis. Management says it is pursuing additional financing and expects the FatBrain acquisition to support revenue, profit and cash flow; success is not assured.
  • Subsequent financing and dilution: After year-end, the company reported an $8.25 million public offering, warrant exercises that generated $2.5 million, and a non-convertible note with $5.0 million funded against a $5.72 million face amount, due in 18 months at 105% of the note amount. The note included a five-year warrant for 8.945 million shares at $0.41. The filing also describes a 2024 FatBrain asset acquisition funded with shares and assumed obligations.
  • Acquisitions and restructuring: An OpenExO acquisition agreement was signed in March 2024, subject to closing conditions. UAV ceased instruction following a regulator’s February 2024 decision after accreditation concerns; the company is conducting a close-out audit and pursuing legal action against former owners. UAV closure may involve additional liabilities, refunds or write-offs.
  • Controls and reporting: Management says disclosure controls were ineffective and identifies material weaknesses in process documentation, segregation of duties and financial close/review, business-combination and impairment accounting, and IT access controls. The filing also indicates that previously issued financial statements were restated. The auditor’s opinion is unmodified but includes an emphasis-of-matter paragraph on going concern.
  • Other risks: The company highlights reliance on external financing, acquisition integration, competition and technology changes, cybersecurity, international operations and foreign exchange, education regulation, and potential share dilution. It reports three legal cases in 2023 (one settled and two ongoing) and one additional case in 2024; management does not expect material adverse outcomes.
  • Strategic aims: Management plans to expand AI education and tools, integrate acquired businesses into GeniusU, and pursue additional acquisitions. Its longer-term objective of developing an accredited alternative curriculum is aspirational and depends on execution and regulatory approvals; the filing gives no formal financial guidance.

Investor verification priorities

  • Reconcile the going-concern warning with available cash, near-term obligations, subsequent financing proceeds and the timing or terms of any further capital raises.
  • Review the audited results separately from the unaudited FatBrain pro forma figures, including FatBrain’s acquisition accounting, obligations assumed and contribution to cash generation.
  • Assess the scale and potential resolution of UAV closure costs, the close-out audit and litigation with former owners.
  • Track remediation of the stated material weaknesses and the effects of the prior-period restatement on reported comparisons.
  • Verify fully diluted share counts, including post-year-end offerings, warrant exercises, outstanding warrants and employee share schemes.
  • Review related-party balances and transactions, including the reported amount due from Entrepreneur Resorts and the CEO loan arrangement. Also note that the company marked “No” on the cover-page question asking whether it had filed all required reports during the preceding 12 months.
