Changes versus prior period and Q4

  • New vehicle retail revenue rose 9.9%; used vehicle retail revenue rose 14.0%; parts and service revenue rose 11.4%; finance and insurance revenue rose 17.7%.
  • Vehicle volumes and acquisition activity supported growth, while new and used vehicle margins softened. Consolidated new-vehicle margin was 5.4% versus 5.5%; used-vehicle margin was 6.5% versus 6.8%. Parts and service margin improved to 52.8% from 52.5%.
  • Brazil reported revenue of $775.4 million and a net loss of $18.5 million, compared with revenue of $754.5 million and a net loss of $1.4 million in 2013. U.S. and U.K. segment net income was $97.2 million and $14.3 million, respectively.
  • Q4 2014 revenue was $2.539 billion versus $2.279 billion in Q4 2013; net income was $18.7 million versus $21.7 million. Q4 2014 included $30.4 million of asset impairment charges.

Outlook, unusual items and risks

  • Management expected 2015 capital expenditures of no more than $125 million, excluding acquisitions, and an effective tax rate of approximately 38%. It said cash flow and available borrowing capacity were expected to fund 2015 operations, capital expenditures and acquisitions. No specific revenue or earnings guidance was provided.
  • Management’s priorities included growing higher-margin parts and service, gaining vehicle-market share, improving customer experience and operating efficiency, and pursuing selective acquisitions while reviewing underperforming dealerships.
  • Unusual FY 2014 items included a $46.4 million loss on extinguishment of convertible debt, $41.5 million of asset impairments (including $31.0 million related to franchise rights), and a $13.3 million pretax net gain on dealership dispositions. The new 5.00% senior notes due 2022 raised $550 million principal and replaced the 2.25% and 3.00% convertible notes.
  • Key risks include weaker Brazilian demand and currency depreciation, competitive pressure on vehicle margins, exposure to U.S. oil-and-gas-dependent markets, manufacturer/franchise dependence, interest-rate and refinancing risk, and regulatory, environmental, cybersecurity and self-insurance exposures. The company identified an unresolved SEC staff comment concerning its goodwill reporting-unit determination; it said the 2014 goodwill impairment test showed each reporting unit’s fair value above carrying value, but alternative assumptions could affect conclusions.
  • The company reported no legal proceeding expected to have a material adverse effect, while noting outcomes of current and future matters cannot be predicted. Management and the auditor concluded internal control over financial reporting was effective; the financial-statement audit opinion was unqualified.

Most important facts for investors to verify

  • Whether earnings and margins recover after the debt-extinguishment loss and substantial franchise-rights impairments.
  • Brazil’s operating performance, currency exposure and ability to improve from its $18.5 million segment loss.
  • Cash generation and acquisition/capital-spending needs relative to floorplan financing, debt maturities, covenant capacity and reported available liquidity.
  • Progress on the SEC’s unresolved goodwill reporting-unit comment and sensitivity of franchise-rights valuations to assumptions.
  • Whether the stated 2015 tax-rate and capital-expenditure expectations, and dividend and repurchase plans, remain achievable under debt restrictions and operating conditions.
