Changes versus the prior period

  • Sales increased 1%, reflecting 2% growth from acquisitions and a 1% decline in organic sales. Foreign currency translation also affected reported results; the filing’s overview does not quantify its contribution to consolidated sales growth.
  • Gross margin increased 1.4 percentage points, which management attributed primarily to volume and prior cost actions. Operating margin increased 1.9 points, with higher productivity and the absence of the prior-year restructuring charge also contributing.
  • Operating income rose 12%; diluted EPS increased from $0.62 to $0.74. The effective tax rate fell to 28.2% from 29.5%, partly due to reinstatement of the U.S. research and development credit and the mix of income across jurisdictions.
  • Operating cash flow rose $13.5 million, primarily due to higher earnings. Cash flow was sufficient to fund capital expenditures.
  • Foreign currency translation reduced other comprehensive income by $27.3 million, compared with a $15.0 million gain in Q1 2012; comprehensive income consequently declined to $36.5 million from $69.5 million.

Segments, outlook, and notable items

  • Fluid & Metering Technologies: Sales of $211.8 million declined 1%; operating income was $48.1 million and margin 22.7%, versus 20.9%. Organic sales were down 1%, with weakness in several markets partly offset by agriculture and water services.
  • Health & Science Technologies: Sales of $172.9 million declined 1%; operating income was $32.3 million and margin 18.7%, versus 17.4%. Organic sales fell 7%, partly offset by 7% acquisition growth. Management cited weakness in semiconductor, life science, defense, and European industrial markets.
  • Fire & Safety/Diversified Products: Sales of $111.5 million increased 7%, all organic; operating income was $28.2 million and margin 25.3%, versus 22.8%. Growth included dispensing, Band-It, fire suppression, and rescue products.
  • Management forecast Q2 diluted EPS of $0.73–$0.75 and full-year 2013 diluted EPS of $2.85–$2.95. It described North America as improving, Europe as soft, and Asia as uneven. These are forward-looking estimates, not guarantees.
  • On March 18, IDEX acquired FTL Seals Technology for $34.6 million in cash, financed with revolving-facility borrowings. FTL had approximately $22.5 million in annual revenue. The preliminary allocation included $18.1 million of goodwill and $13.0 million of intangible assets; the allocation remained subject to finalization.
  • Q1 included $1.1 million of acquisition-related transaction costs. No restructuring expense was recorded, compared with $4.9 million in Q1 2012; the prior restructuring program was completed by year-end 2012.
  • IDEX repurchased 706,491 shares for $35.7 million during the quarter. Management said cash, operating cash flow, and available revolver capacity were expected to cover operating needs, planned capital spending, debt interest, benefit funding, repurchases, and dividends through 2013 and 2014.

Risks, contingencies, and investor verification

  • Results are exposed to industrial activity, capital spending, end-market conditions, foreign exchange, and interest rates. Approximately 9% of debt was floating rate; a 50-basis-point rate move was estimated to change annual interest expense and cash flow by about $0.4 million.
  • Asbestos-related lawsuits remain outstanding. Most resolved claims were dismissed without payment or settled for insignificant amounts, and insurance has historically covered most settlements and legal costs, but future insurance availability is uncertain. The company reported no material expected impact and recorded no provision beyond ordinary-course insurance deductibles.
  • Other ordinary-course legal proceedings were not expected by management to have a material adverse effect. The filing also reports possible changes of zero to $2.7 million in gross unrecognized tax benefits within the next 12 months.
  • Verify: the assumptions and subsequent performance underlying EPS guidance; organic-sales trends, particularly in Health & Science; final purchase accounting and results for FTL; debt, covenant headroom, and planned share repurchases; and developments in asbestos claims and related insurance coverage.
  • The filing’s financial statements are unaudited, and it cautions that Q1 results are not necessarily indicative of full-year results. Management reported disclosure controls as effective at March 31, 2013.
