Intrepid Potash, Inc. — FY2023 Form 10-K Summary
Business context and reporting period
This filing is the Annual Report on Form 10-K for the fiscal year ended December 31, 2023, filed March 7, 2024. It is not a standalone fourth-quarter filing. Intrepid is a U.S.-based diversified mineral producer with three reportable segments: potash, Trio® specialty fertilizer, and oilfield solutions. Operations are located in New Mexico and Utah and include solution-mined potash, underground-mined Trio®, water, brine, salt, magnesium chloride, and related oilfield products and services.
Potash represented 47% of total sales, Trio® 35%, and water 5% in 2023. The company remains highly exposed to fertilizer pricing, agricultural demand, oil and gas activity, weather, and regulatory conditions.

- Potash segment sales were $155.9 million, down from $191.4 million. Sales volumes increased 16% to 258,000 tons, but average net realized price fell 35% to $466 per ton. Potash production declined 17% to 224,000 tons.
- Trio® segment sales were $102.2 million, down from $117.8 million. Sales volumes increased 16% to 228,000 tons, while average net realized price declined 33% to $321 per ton. The segment recorded a gross deficit of $4.0 million, compared with a $39.1 million gross margin in 2022.
- Oilfield solutions sales were $21.3 million, down from $28.7 million, primarily because water sales decreased to $9.6 million from $17.5 million. Brine sales increased.
- The company recorded $6.5 million of lower-of-cost-or-net-realizable-value inventory adjustments, including $3.8 million for Trio® and $2.7 million for potash.
- Cash and cash equivalents were $4.1 million at year-end, compared with $18.5 million in 2022. Including restricted cash, total cash, cash equivalents, and restricted cash were $4.7 million.
- The revolving credit facility provides $150 million of capacity, matures August 4, 2027, and had $4.0 million outstanding and $146.0 million available at year-end. The company reported compliance with applicable covenants and no outstanding letters of credit.
- Total assets were $768.5 million and stockholders’ equity was $684.4 million at December 31, 2023. Asset retirement obligations totaled $30.4 million, and the discounted present value of estimated reclamation costs was approximately $30.4 million.
Material changes versus the prior comparable period
- Fertilizer pricing normalized from the elevated 2022 levels following improved global production and product availability. This caused substantial declines in potash and Trio® realized prices despite higher sales volumes.
- Gross margin fell from 42% to 13%, driven by lower prices, higher labor and production costs, lower production volumes, and inventory write-downs.
- 2023 included $43.3 million of long-lived asset impairment charges: $31.9 million for the East/Trio® assets, $9.9 million for the idled West facility, and $1.5 million for certain oilfield solutions assets. No comparable impairment charges were recorded in 2022.
- East mine production increased to 216,000 tons of Trio® from 226,000 tons despite higher sales volumes, while higher costs and lower prices resulted in negative segment gross margin.
- Potash and Trio® production costs increased as labor, contract labor, benefits, operating supplies, depreciation, property taxes, and insurance rose. Lower production also increased unit costs because much of the cost structure is fixed.
- The company did not repurchase shares under its $35 million repurchase program in 2023; approximately $13.0 million remained available at year-end.
- As of December 31, 2023, Intrepid no longer reported mineral reserves at the East mine or any langbeinite reserves because the deposit was deemed not economically mineable under current assumptions. Langbeinite remains classified as a mineral resource.
Guidance, outlook, management commentary, and unusual items
- For 2024, management expects capital investments of $40 million to $50 million, including approximately $20 million to $25 million of sustaining capital. The balance is expected to fund opportunity projects.
- Planned 2024 projects include Phase Two of the HB injection pipeline, a replacement HB extraction well, and a new primary pond at Wendover. Expected commissioning dates were the first half of 2024 for the pipeline phase and extraction well, and the third quarter of 2024 for the Wendover pond, subject to permitting and execution.
- The Eddy Shaft Brine Extraction Project at HB was commissioned in October 2023. Management expects incremental production contributions beginning in the second half of 2024.
- Management expects 2024 fertilizer demand to remain supported by spring and fall application seasons, but pricing remains subject to global supply, weather, planting decisions, freight availability, crop economics, and competing products.
- Management reported good subscription for the 2024 spring potash and Trio® seasons and expects distributors to target minimal carryover inventory into summer. No formal full-year revenue or earnings guidance was provided.
- Management expects 2024 operating plans and capital programs to be funded from operating cash flows, existing cash, and potentially the revolving credit facility.
- A January 1, 2024 amendment with XTO supports expanded oil and gas development within the Designated Potash Area. Intrepid received $5 million in December 2023 and $45 million on January 2, 2024. The amendment also provides for a potential $50 million Access Fee and up to $100 million of additional Access Realization Fees, subject to specified future events. No revenue was recorded for the amendment in 2023.
- Water-rights litigation remains significant. A New Mexico court ruling limited certain Pecos River rights, and the New Mexico Supreme Court agreed to review the abandonment determination in February 2024. If unsuccessful, Intrepid could face repayment obligations for prior water sales, potentially up to twice the volume of water removed; the amount and timing cannot presently be estimated.
- Environmental, reclamation, permitting, mine safety, weather, labor, transportation, cybersecurity, commodity-price, and customer-concentration risks could materially affect results. One customer represented approximately 12%, or $33.4 million, of 2023 consolidated revenue.
- KPMG issued unqualified opinions on the financial statements and internal control over financial reporting. Critical audit matters included realizability of deferred tax assets and impairment valuation of long-lived assets.
Most important facts for investors to verify
- Whether potash and Trio® prices and gross margins stabilize or continue to decline during 2024.
- Whether the HB extraction, pipeline, and Wendover pond projects are completed on schedule and generate the expected production benefits.
- The company’s ability to fund $40 million to $50 million of 2024 capital spending while holding only $4.1 million of unrestricted cash at year-end.
- Compliance with the revolving credit facility’s leverage and other covenants as operating results remain weaker.
- The outcome of the Pecos River water-rights appeal and any resulting repayment, permitting, or revenue consequences.
- Whether further impairment or inventory write-downs are required, particularly for Trio®, West, or other higher-cost assets.
- The economic viability of East mine langbeinite resources, given that no langbeinite reserves were reported at year-end.
- The timing, accounting treatment, and ultimate collectability of the XTO payments and contingent fees.
- Exposure to the largest customer, agricultural demand, oil and gas activity, foreign potash imports, weather, and environmental or reclamation obligations.
