Quarterly comparable sales declined 1.2%, primarily on lower traffic, partly offset by higher average transaction value. Nine-month comparable sales rose 6.8%, supported by Retail traffic, stronger full-price sales and fewer promotions. Strategic price increases helped quarterly gross margin; raw-material cost increases partly offset the benefit. Quarterly SG&A was $84.9 million, approximately flat year over year. The company had 13 fewer stores than a year earlier.

Cash flow, debt and liquidity

  • For the 39 weeks, operating cash flow was $66.7 million, versus $53.4 million; investing cash outflow was $5.2 million, versus $2.5 million; and financing cash outflow was $7.4 million, versus $37.9 million. Capital expenditures were $5.2 million.
  • Cash and cash equivalents were $90.1 million at October 29, 2022, up from $36.0 million at January 29, 2022. Inventory was $60.1 million, up from $56.0 million.
  • Balance-sheet debt carrying value was $207.6 million; disclosed outstanding principal was $221.8 million. The debt includes a priming term loan and a related-party subordinated loan, both maturing in 2024. Debt is secured by substantially all company assets, subject to exceptions.
  • The company had no ABL borrowings and reported $33.0 million of available capacity under its $40.0 million revolving facility. The ABL maturity was extended to May 8, 2024, subject to an earlier-maturity condition tied to extending the priming loan. The company reported compliance with debt covenants.

Changes, outlook and risks

Nine-month net income improved substantially from the prior-year loss, but the comparison is affected by $59.8 million of prior-year noncash fair-value charges on warrants and an embedded derivative. Those liabilities were reclassified to equity in 2021; no such fair-value adjustments were recorded in the current periods. Current-year results included $1.4 million of long-lived asset impairment charges, including charges related to a headquarters right-of-use asset and five store locations.

No numerical earnings or sales guidance is provided. Management identifies economic conditions, inflation and consumer credit costs, customer demand and traffic, fashion preferences, competition, merchandise pricing and costs, supply-chain factors, and returns on technology and ecommerce initiatives as factors that could affect results. Management cautions that interim results are not necessarily indicative of full-year results.

An $8.3 million IRS payment received in October was later determined to have been made in error and repaid in November. The company also received a separate $9.2 million remaining tax refund in November; it expected the two subsequent cash movements to produce a net $0.9 million increase in fourth-quarter operating cash flow. Management said ordinary-course legal proceedings were not expected to have a material adverse effect. The filing reports no material changes to previously disclosed risk factors.

Important facts for investors to verify

  • Confirm the period: the filing is for the quarter ended October 29, 2022, notwithstanding the request metadata.
  • Assess whether the quarterly sales and comparable-sales softness reflects persistent traffic weakness, and track full-price selling and margin trends.
  • Review debt principal, related-party loan terms, 2024 maturities, covenant headroom and the ABL maturity condition.
  • Separate recurring operating cash generation from the temporary $8.3 million IRS receipt and subsequent tax-refund movements.
  • Consider the non-GAAP nature of Adjusted EBITDA and the prior-year warrant and derivative charges when comparing earnings.
