DORIAN LPG LTD. annual report, FY2023

Dorian LPG Ltd. — FY2023 Form 10-K

Reporting period: Fiscal year ended March 31, 2023. Although the request metadata refers to 2022 Q4, this filing is an annual report; it also includes unaudited results for the quarter ended March 31, 2023.

Business context

Dorian owns and operates very large gas carriers (VLGCs) transporting liquefied petroleum gas. As of March 31, 2023, its fleet comprised 25 vessels, including four time-chartered-in vessels. The Helios Pool, a 50%-owned joint venture, is a key commercial channel: it generated 94% of FY2023 revenue, compared with 90% in FY2022. The company reports one operating segment.

Revenue growth was driven primarily by stronger pool earnings and higher spot rates. Average TCE rate rose to $50,462 from $34,669; fleet utilization edged up to 95.0% from 94.9%. Higher fuel prices partly offset the rate improvement. Interest and finance costs increased to $37.8 million from $27.1 million, mainly due to higher SOFR and higher average debt.

  • Cash flow: Operating cash flow was $224.1 million, versus $118.7 million. Investing activities used $76.3 million, including vessel and capital spending; financing activities used $235.2 million, including $220.6 million of dividends and $352.5 million of debt repayments, partly offset by $346.0 million of borrowings.
  • Liquidity: Cash and cash equivalents were $148.8 million at year-end, down from $236.8 million. Current assets were $236.3 million and current liabilities $94.6 million. Management expected cash on hand and operating cash flow to meet liquidity needs for at least 12 months.
  • Debt: Gross debt was $663.6 million at March 31, 2023, compared with $670.0 million a year earlier; debt net of deferred financing fees was $657.4 million. Of the debt, $53.1 million was current. The company reported compliance with its financial covenants.
  • Quarterly trend: In the unaudited quarter ended March 31, 2023, revenue was $133.6 million and net income was $76.0 million, compared with $79.6 million and $35.4 million, respectively, in the year-earlier quarter.

Material changes and notable items

  • Dorian took delivery of the new dual-fuel VLGC Captain Markos on March 31, 2023, financed through a 13-year bareboat charter arrangement.
  • FY2023 included $5.50 per share in declared irregular dividends and $220.6 million of cash dividends paid. A further $1.00-per-share irregular dividend was declared after year-end and paid in May 2023. The company cautions that irregular dividends do not indicate future payments.
  • The company entered long-term time charters for two dual-fuel Panamax VLGCs and extended certain vessel charters. Time-charter-in commitments totaled $78.7 million at year-end, excluding lease liabilities already recorded on the balance sheet.
  • Interest-rate exposure remains: $491.6 million of debt was hedged or fixed at March 31, 2023. Management estimated that a 20-basis-point SOFR change would alter interest expense on unhedged debt by approximately $0.3 million over the following 12 months.
  • Vessel appraisals showed estimated fleet market value $270.2 million above carrying value; no impairment was recorded. The prior-year comparison was a $85.1 million excess.
  • Auditors issued an unqualified opinion on the financial statements and internal controls; they reported no critical audit matters. Management also concluded internal control over financial reporting was effective.

Outlook, risks and contingencies

The filing provides no specific earnings or rate guidance. Management describes a balanced chartering approach spanning pool employment, time charters, spot voyages and contracts of affreightment, with employment decisions intended to balance utilization, market exposure and shareholder returns.

  • Results are exposed to volatile LPG freight rates, vessel supply and demand, seasonality, charter renewals and the risk of weaker utilization or rates. Industry sources cited 74 VLGCs on order for delivery by the end of 2027, against a fleet of 372 vessels as of May 2023.
  • Revenue is concentrated: the Helios Pool accounted for 94% of FY2023 revenue, and two customers each represented more than 10% of Helios Pool net revenues. Pool receivables and distributions are therefore important credit and liquidity exposures.
  • Debt costs are sensitive to SOFR; covenants, vessel values and refinancing access could constrain dividends, repurchases or investment. Debt agreements restrict dividends in specified default or covenant circumstances.
  • Environmental rules, including emissions and efficiency requirements, may require further vessel investment and increase operating costs. The filing also identifies geopolitical and sanctions exposure, Panama Canal tolls and transit delays, crew costs, fuel prices, and cyber and operational risks.
  • The company said it was not involved in legal proceedings expected to materially affect its business or financial condition. A charter dispute was settled for $4.0 million in FY2022.

Important facts for investors to verify

  • Review the sustainability and duration of FY2023’s higher spot-driven TCE rates and whether the margin expansion persists.
  • Assess Helios Pool dependence, customer concentration, related-party receivables and the pool’s collection and distribution timing.
  • Reconcile gross debt, scheduled principal payments, lease commitments and variable-rate exposure; confirm covenant headroom and refinancing needs.
  • Compare dividends and repurchases with operating cash generation, vessel investment, debt service and contractual restrictions; do not treat irregular dividends as recurring guidance.
  • Track fleet deliveries and scrapping, charter expirations, canal costs, and spending required for scrubbers and evolving emissions standards.
