Material changes versus the prior comparable period

  • Revenue and operating income grew despite a $215 million adverse currency translation effect on revenue and a $99 million adverse effect on operating income.
  • Net income and EPS comparisons benefited from the prior-year $500 million nonoperating charge related to settlement of a French tax audit, which reduced prior-year diluted EPS by $0.67. Prior-year results also included $127 million of expenses, primarily related to Russia.
  • Q1 2023 included $180 million of pretax restructuring charges for the Accelerating the Organization initiative, or approximately $0.18 per diluted share. Excluding specified current- and prior-year charges and the prior-year tax settlement, diluted EPS was $2.63 versus $2.28, up 15% reported and 19% in constant currencies.
  • Interest expense increased 15%, primarily due to higher average interest rates and debt balances. The company issued $1.054 billion of long-term financing in Q1 2023; Q1 2022 included $1.351 billion of long-term debt repayments.
  • Treasury stock purchases were $578 million in the cash-flow statement (2.2 million shares; $584.5 million in the equity statement); dividends paid were $1.111 billion, or $1.52 per share.

Outlook, commentary, and risks

Management reported strong comparable sales across all segments, attributing performance to pricing, guest-count growth, restaurant execution, marketing, and digital and delivery growth. Digital channels generated more than $7.5 billion in Systemwide sales in the top six markets, nearly 40% of their Systemwide sales. Management expects about 1,900 gross restaurant openings and approximately 1,500 net additions in 2023.

  • 2023 outlook: operating margin of about 45%; SG&A of about 2.2%–2.3% of Systemwide sales; effective tax rate of 20%–22%; and interest expense growth of 10%–12%.
  • Capital expenditures are expected to be $2.2–$2.4 billion; net restaurant unit expansion is expected to contribute nearly 1.5% to 2023 Systemwide sales growth in constant currencies. Management expects free cash flow conversion above 90%.
  • The Accelerating the Organization initiative is expected to cost $200–$250 million in 2023; $180 million was incurred in Q1. Most of the $163 million accrued balance was expected to be paid by year-end. Additional Global Business Services transformation costs are expected, but could not yet be estimated; most of that strategy is expected to be completed by the end of 2027.
  • Key disclosed risks include inflation and commodity, labor and supply-chain costs; foreign-exchange movements; geopolitical disruption, including the Russia-Ukraine war; franchisee financial and operational performance; competition and changing consumer preferences; food safety; technology and cybersecurity; legal, regulatory, tax, privacy and ESG matters; and execution of strategy and restaurant development.

Management stated that disclosure controls were effective at March 31, 2023. A multiyear finance and technology systems transformation is underway; management said it was not in response to an identified internal-control deficiency. No material changes to previously disclosed legal proceedings or market-risk disclosures were reported.
