Changes, outlook, risks and unusual items
- Investment income and NII increased, while portfolio fair value declined by $279 million year over year. Net unrealized loss narrowed substantially from $295.0 million in 2022 to $3.5 million in 2023; realized gains were $6.5 million versus $40.8 million.
- New investment commitments were $872.9 million, down from $1.06 billion; investments funded were $744.8 million, while $1.14 billion of principal was sold or repaid. Management said it increased originations in response to repayments to keep leverage within its target range of 0.90x–1.25x.
- Portfolio credit ratings worsened modestly: investments rated 3 rose to 10.2% of fair value from 5.6%; none were rated 4. Rating-5 investments were 0.2%. Non-accrual debt fell to 0.3% of amortized cost from 0.7%.
- Management described portfolio credit quality as consistent and reported generally solid demand and modest revenue and EBITDA growth among portfolio companies. It expected M&A activity to increase but gave no formal earnings, yield or distribution guidance. It cautioned that continued high rates, inflation, geopolitical disruption or weaker markets could pressure borrowers and valuations.
- In August 2023, the company refinanced its CLO 2020-1, issuing $204 million of secured notes with stated maturities in 2035; CLO coverage-test failures can divert cash from the company’s residual equity interest to debt repayment. The company also amended and expanded its revolving facility in September 2023.
- FY 2023 distributions declared totaled $1.45 per share ($300.3 million); the filing says a portion of distributions may be funded from sources other than ordinary income. The Board declared a first-quarter 2024 distribution tied to estimated taxable income and a capital-gains condition, without stating a fixed per-share amount.
- Key risks include leverage and higher funding costs, illiquid and Level 3 valuations, technology-sector concentration, PIK income and cash-collection risk, affiliate allocation conflicts, and the lack of a liquid market for shares. The auditor identified valuation of Level 3 investments ($5.8 billion) as a critical audit matter. No material legal proceedings or material cybersecurity incidents were reported.
Important facts for investors to verify
- Assess portfolio fair-value assumptions and downside exposure: most investments lack readily available market prices, and FY 2023 unrealized marks included material equity valuation movements.
- Review the quality and cash collectability of PIK income, borrower performance, watch-list exposures and the increase in rating-3 investments.
- Confirm distribution coverage from recurring cash income, the tax character of distributions and the impact of reinvestment in newly issued shares.
- Check debt maturities, facility borrowing-base availability, covenant headroom and sensitivity to interest rates; the company’s disclosed target leverage exceeds its year-end net leverage.
- Consider share illiquidity and the commitment-period terms: absent an exchange listing by August 10, 2025, subject to possible extensions, the Board is to use commercially reasonable efforts to wind down or liquidate the company.
