OUTFRONT Media Inc. annual report, FY2014

OUTFRONT Media Inc. — 2014 Form 10-K

Reporting period: Fiscal year ended December 31, 2014. This is an annual filing, not a standalone fourth-quarter report; quarterly figures below are unaudited. OUTFRONT provides billboard and transit advertising across the U.S., Canada and Latin America. In 2014 it completed its IPO and separation from CBS, began operating as a REIT for the period starting July 17, and rebranded from CBS Outdoor Americas.

Fourth-quarter 2014 revenue was $395.0 million, operating income was $50.5 million, and net income was $27.8 million. The fourth quarter is typically the company’s strongest season.

At year-end, cash was $28.5 million, working capital was $100.1 million, and total assets were $4.02 billion. Long-term debt was $2.20 billion, with a reported weighted-average debt cost of 4.6%. The $425 million revolver had no borrowings at year-end, although $20.6 million of letters of credit was issued against it. By March 6, 2015, $50 million had been drawn for seasonal municipal payments.

Material changes versus the prior period

  • Revenue growth included the Van Wagner acquisition, completed October 1 for $690 million plus working-capital adjustments. It contributed $55.2 million of 2014 revenue after acquisition; the purchase-price allocation remained preliminary.
  • U.S. revenue grew 6% to $1.20 billion, while International revenue fell 5% to $155.0 million as reported, reflecting foreign exchange. International revenue increased 3% in constant dollars.
  • Reported net income included a $206.0 million income-tax benefit, including a $235.6 million noncash reversal of deferred tax liabilities related to the REIT conversion. Net income therefore is not a clean indicator of recurring operating improvement.
  • Debt increased from no long-term debt reported at year-end 2013 to $2.20 billion at year-end 2014, largely reflecting financing for the separation and acquisition. Operating cash flow declined, while investing cash outflow rose to $798.4 million, primarily due to acquisitions.
  • Adjusted OIBDA was nearly flat despite higher revenue; increased operating costs, standalone-company costs and international weakness weighed on margins. Reported 2013 operating income also benefited from $27.3 million in disposition gains.

Outlook, commentary and risks

  • Management expects approximately $70 million of 2015 capital expenditures, focused mainly on digital displays, billboard improvements and office renovations. No specific revenue or earnings guidance is provided.
  • The company plans to expand digital billboards and improve pricing and inventory management. It had 511 U.S. digital billboards at year-end, about 1% of its U.S. billboard displays; management reports digital displays generate three to four times the revenue per display of traditional billboards, with higher operating costs.
  • Transit concessions are a major risk. OUTFRONT lost its bid to renew the acquired New York City phone-kiosk contract; operations were expected to cease in Q1 2015. MTA contracts represented 57% of U.S. transit and other revenue and were scheduled to expire or be terminable in 2015; the company expected an RFP in mid-2015.
  • Management expects higher 2015 SG&A on an annualized basis as standalone public-company costs continue. Two senior executives departed in 2014; restructuring charges were $9.8 million.
  • Key risks include advertising-market and seasonal exposure, competition, regulation and permitting of billboards, concession renewals, foreign currency and economic conditions, substantial debt and variable-rate exposure, and maintaining REIT qualification. The company reports a $1.0 million annual interest-expense sensitivity for each 1/8 percentage-point rate change on variable-rate debt.
  • REIT status requires continuing compliance with complex income, asset, ownership and distribution tests. The company paid a $547.7 million special distribution for the earnings-and-profits purge, consisting of $109.5 million in cash and approximately 16.5 million shares. Regular distributions remain subject to board discretion, debt restrictions and available funds.
  • The filing reports no current litigation expected to have a material adverse effect. Management concluded disclosure controls were effective; the filing omits management’s internal-control assessment and auditor attestation under the transition relief for newly public companies.

Important facts for investors to verify

  • Separate recurring performance from the REIT tax reversal, acquisition contribution, transaction and restructuring costs, and prior-year disposition gains; review non-GAAP reconciliations and their limitations.
  • Track renewal outcomes and economics for the MTA and other municipal concessions, as well as the cessation and revenue impact of the NYC phone-kiosk business.
  • Assess debt-service capacity, covenant headroom, revolver use, variable-rate exposure and the substantial lease and minimum-franchise commitments.
  • Check whether acquisition integration and preliminary purchase accounting produce the expected returns, and whether digital conversion supports revenue and margins at planned capital-spending levels.
  • Confirm ongoing REIT qualification, required distributions, tax consequences, and the effect of share issuance for the special dividend on per-share results and dilution.
