UiPath, Inc. — Q1 FY2025 Form 10-Q
Reporting period: Three months ended April 30, 2024. UiPath provides an AI-powered business automation platform. Unless otherwise noted, financial amounts below are in U.S. dollars.
Financial and operating performance
- Revenue: $335.1 million, up 16% year over year. Subscription services grew 26% to $185.1 million; licenses grew 5% to $140.1 million; professional services and other revenue was $9.9 million.
- Profitability: Gross profit was $279.8 million and gross margin was 83%, down from 85%. Operating loss was $49.5 million versus $46.4 million. Net loss improved to $28.7 million from $31.9 million; diluted loss per share was $0.05 versus $0.06.
- Cash flow: Operating cash flow was $100.0 million, compared with $67.3 million. Investing activities provided $35.8 million, mainly reflecting marketable-security maturities net of purchases. Financing activities used $45.7 million, including $22.0 million of share repurchases and $29.0 million of tax-withholding payments on equity awards.
- Liquidity and debt: Cash, cash equivalents, restricted cash, and marketable securities totaled approximately $1.94 billion at quarter-end. The filing reports no borrowings; the $200 million revolving credit facility was terminated in September 2023. A $5.6 million acquisition-related loan note was payable July 29, 2024.
- Other metrics: ARR was $1.508 billion, up 21% year over year; dollar-based net retention was 118%, down from 122%. Remaining performance obligations were $1.101 billion, of which 62% was expected to be recognized as revenue in the next 12 months. Stock-based compensation was $88.7 million.
Changes versus the prior-year quarter
- Revenue growth was led by subscription services, which increased $38.8 million; management cited the transition to Flex Offerings as one contributing factor. Revenue growth came 27% from new customers and 73% from existing customers.
- Gross margin declined as licenses represented a smaller share of revenue and subscription-service costs rose, including hosting costs associated with increased usage.
- Total operating expenses rose 13% to $329.3 million, while operating loss widened. Higher sales and marketing, research and development, and general and administrative costs contributed; operating expenses were 98% of revenue versus 101% a year earlier.
- Other income, net rose to $10.7 million, primarily due to higher marketable-security discount amortization and foreign-currency transaction gains; it included $1.4 million of shareholder-litigation legal expense.
Outlook, risks, and unusual items
- Outlook: The filing provides no numerical revenue, earnings, or ARR guidance. Management said existing liquidity and customer payments should fund anticipated cash requirements for the next 12 months and the long term. It expects subscription-service costs and research and development expenses to rise in absolute dollars; greater SaaS adoption may pressure gross margin through hosting and cloud-infrastructure costs.
- Key risks: The filing highlights uncertainty around demand for AI-enabled products, competition and product development, responsible AI use and evolving regulation, foreign-exchange exposure, and implementation of a multi-year ERP system. Management reported disclosure controls were effective at a reasonable-assurance level and no material change in internal control over financial reporting during the quarter.
- Contingencies: UiPath and current or former officers/directors face securities and derivative litigation. The company recorded no accrual, stating a loss was not probable or estimable. A Romanian VAT assessment is under appeal; a Romanian corporate tax audit proposed reducing net operating loss carryforwards by approximately $66.7 million, which the company is also appealing.
- Unusual/subsequent items: On May 3, 2024, UiPath agreed to invest approximately $35.2 million in a France-based foundation-model and agentic-AI company through equity and convertible bonds. The quarter included $6.6 million of charitable stock donations recorded in general and administrative expense and $22.0 million of share repurchases.
Important facts for investors to verify
- Whether ARR growth and customer expansion can sustain revenue growth, given retention fell to 118% and ARR is not a forecast of GAAP revenue.
- Whether rising subscription hosting and software costs continue to weigh on gross margin.
- The progress and potential financial impact of the Romanian tax appeals and shareholder litigation.
- The expected cost, timing, and control implications of the ERP implementation, and the commercial and risk implications of the AI investment.
- Reconcile the filing’s liquidity figures when using them: MD&A reports $1,936.5 million of cash, cash equivalents, and marketable securities, while the business highlights report $1,936.9 million including restricted cash.
