Quarterly sales increased about 24% year over year and nine-month sales about 20%; quarterly attributable net income rose about 70% and nine-month income about 16%. Acquisition contributions were approximately $624 million of quarterly sales and $1.396 billion for nine months. Excluding acquisitions and currency, Diversified Industrial sales rose 11.0% in the quarter and 12.5% year to date.

Quarterly gross margin edged up, while nine-month margin declined. Management cited volume, pricing and cost controls as offsets to inflation and operating costs; Aerospace margins were pressured by acquisition-related amortization and inventory step-up, integration charges, supply-chain and labor challenges, engineering costs and higher contract loss reserves. SG&A rose, including higher amortization and $112 million of acquisition transaction costs in the nine-month period. Interest expense increased to $152 million for the quarter and $417 million year to date, reflecting higher debt and interest rates.

  • Covenants: Debt-to-debt-plus-shareholders’ equity was 0.58 versus a maximum of 0.65; the company reported compliance. A 100-basis-point increase in near-term rates was estimated to raise annual interest expense by about $28.7 million.
