  • Notes payable totaled $2.03 billion, including approximately $2.0 billion of senior notes. Financial Services debt was $315.6 million, down from $586.7 million at December 31, 2022.
  • No borrowings were outstanding under the $1.3 billion revolving credit facility; $965 million remained available after letters of credit. The company reported a 17.3% debt-to-total-capitalization ratio, excluding Financial Services debt, versus 18.7% at year-end.
  • Management said cash, available financing, and operating cash flows should be sufficient for business needs over the next 12 months and beyond. Management intended to refinance or replace it, but gave no assurance of commercially reasonable terms.

Changes, outlook, and risks

  • Home sale gross margin declined 170 basis points in Q2 year over year. Management said pricing largely offset higher construction and land costs, while incentives and a greater mix of first-time-buyer homes affected selling prices and margins.
  • Q2 net new orders increased 24% by units and 9% by dollars; first-half orders rose 6% by units but fell 7% by dollars. Cancellation rates were 13% for Q2 and 15% for the first half; management said cancellations had normalized to historical levels.
  • Backlog at June 30 was 13,558 homes worth $8.19 billion, down 29% in units and dollars year over year, though backlog had increased sequentially since December 2022. Florida and Southeast results were notably stronger; West and Midwest performance was weaker.
  • Management cited limited existing-home supply and consumer adjustment to higher interest rates as support for new-home demand. The company increased housing starts and planned land investments, but provided no specific full-year financial guidance.
  • Construction times were approximately three weeks longer than a year earlier, despite sequential improvement. Materials and labor availability, municipal approvals, inflation, and lumber-price volatility may pressure costs; construction-cycle lags can delay the impact on results.
  • Q2 results included a $64.9 million reduction in general-liability reserves following favorable claims experience and updated actuarial estimates. This boosted reported results; future claims and reserve estimates remain uncertain. General-liability reserves were $605.2 million at June 30.
  • Other risks include mortgage-rate and housing-market changes, land and inventory valuation, insurance availability, regulatory and legal matters, and refinancing or capital-market conditions. The filing reported no material changes to previously disclosed risk factors and no material expected adverse impact from pending litigation, while noting outcomes are uncertain.
