Perimeter Solutions, Inc. (Perimeter Solutions, SA) — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter filing. Amounts below are in U.S. dollars unless indicated.
Business context
Perimeter Solutions supplies fire retardants, firefighting foams, equipment and services, and specialty chemicals—principally phosphorus pentasulfide (P2S5) used in lubricant additives. It reports Fire Safety and Specialty Products segments. Fire Safety is seasonal and exposed to wildfire activity; the USDA Forest Service accounted for 22% of 2023 consolidated revenue.

| Net sales | $322.1 million | $360.5 million | Down 11% |
| Gross profit / gross margin | $138.9 million / 43.1% | $142.7 million / 39.6% | Gross profit down 3% |

| Cash from operations | $0.2 million | $(40.2) million | Improved by $40.4 million |
Fire Safety revenue was $225.6 million, down $1.0 million; lower retardant sales from reduced fire activity were largely offset by higher suppressant sales, including fluorine-free foam. Specialty Products revenue fell $37.4 million to $96.6 million, primarily reflecting customer inventory destocking. Segment Adjusted EBITDA was $76.2 million in Fire Safety and $20.6 million in Specialty Products.
Cash and cash equivalents were $47.3 million at year-end, versus $126.8 million a year earlier. Operating cash flow was nearly breakeven; investing used $14.9 million and financing used $64.5 million, including $64.1 million of share repurchases. Working-capital movements and advisory-fee payments affected cash generation.
Debt included $675.0 million of 5.00% senior secured notes due October 2029 ($666.5 million net carrying value); there were no revolver borrowings against the $100 million facility, and the company reported covenant compliance. Separately, redeemable preferred shares were classified as liabilities: year-end carrying value was $105.8 million, with $8.6 million of preferred dividends in arrears. Management said cash, operating cash flow and revolver availability were expected to fund needs for at least 12 months from the filing date. The FY2024 capital expenditure budget was $10 million.
Material changes and unusual items
- Sales declined mainly because specialty-chemical customers reduced purchases to destock inventories and fire-retardant demand fell in regions with less fire activity. Fire suppressant sales increased $20.3 million.
- A $40.7 million impairment was recorded on technology associated with a LaderaTech fire-retardant product after its revenue forecast was lowered. No goodwill impairment was recorded, although reporting-unit fair value exceeded carrying value by only 5.9% for Fire Safety and 15.3% for Specialty Products in the September 2023 interim test.
- A $108.5 million noncash reduction in the fair value of founder advisory obligations was recorded as a benefit, largely reflecting the lower share price. This significant item affects reported operating expenses and is not operating cash generation.
- The LaderaTech contingent earn-out liability was reduced to zero, producing a reported gain of approximately $7.3 million in the income statement (the note describes a $7.7 million gain).
Outlook, risks and contingencies
No quantified revenue or earnings guidance was provided. Management cited wildfire severity and season length, expansion of the wildland-urban interface, fire-prevention opportunities, and growth in fluorine-free foams as potential demand drivers. Nighttime retardant operations may offer additional growth if expanded. Specialty Products faces demand uncertainty from end-market destocking and longer-term shifts in vehicle technology.
Key risks include seasonality and weather volatility; customer concentration and dependence on government purchasers; supply, raw-material and inflation pressures; $675 million of senior notes; and environmental, regulatory and product-liability exposure involving PFAS-containing firefighting foams. The company is a defendant in AFFF multi-district litigation with more than 6,000 cases pending overall; the filing states its losses, if any, are not considered probable or reasonably estimable. Management reported that previously identified material weaknesses in internal control were remediated as of year-end; the auditor gave unqualified opinions on the financial statements and internal controls. The company does not expect to pay cash dividends in the foreseeable future.
Investor verification priorities
- Track cash conversion: FY2023 operating cash flow was only $0.2 million despite $67.5 million of net income.
- Assess whether the Specialty Products destocking reverses and whether Fire Safety growth offsets variability in fire seasons.
- Review sensitivity of goodwill valuations, particularly Fire Safety’s 5.9% fair-value cushion, and the impaired product’s revised prospects.
- Monitor AFFF/PFAS litigation, regulatory changes, insurance and indemnification coverage, and any resulting reserve or cash-impact updates.
- Evaluate capital allocation and dilution: 12.2 million shares were repurchased in FY2023, while founder advisory arrangements require recurring fees, some payable in shares or cash.
- Review debt service and preferred-share obligations, including the $8.6 million of preferred dividends in arrears and mandatory redemption terms.
