Balance sheet, cash flow and capital

  • At June 30, total assets were $527.2 million, total liabilities $245.6 million and total equity $281.6 million. Cash was $2.2 million and restricted escrows/reserves were $0.8 million.
  • Principal debt was $227.0 million: $194.0 million under credit facilities and approximately $33.0 million of secured borrowings. Balance-sheet debt, net of financing costs, was $225.7 million. The company reported covenant compliance.
  • Five interest-rate swaps with $165.0 million notional hedged the SOFR component of term loans. Including swaps, management described approximately $29.0 million of debt as variable-rate and $198.0 million as fixed-rate. A 1 percentage-point SOFR move on unhedged variable debt was estimated to affect annual cash flow by about $0.3 million.
  • First-half investing cash use was $34.1 million, including $32.9 million for property acquisitions; financing provided $20.4 million. The company paid $0.475 per share or unit in first-half distributions.
  • During the first half, the company acquired 78 properties for approximately $33.6 million including closing costs. ATM sales generated approximately $4.6 million net proceeds, with about $37.0 million remaining under the $50 million program at June 30.

Changes, outlook and material risks

  • Growth in rental revenue and operating income was primarily acquisition-driven. Higher financing costs, increased property taxes, depreciation, and general and administrative expenses partly offset that growth; lower insurance recoveries reduced other income.
  • No numerical earnings or acquisition guidance was provided. Management said it expects to fund liquidity needs through operating cash flow, cash, credit facilities and potential securities issuance, and intends to continue pursuing postal-property acquisitions. These plans depend on access to capital and lease outcomes.
  • Lease renewal is a key uncertainty. At June 30, 115 properties had expired leases and USPS was occupying them as a holdover tenant; by August 7, the count was 116. Holdover rent is generally the greater of estimated market rent or rent under the expired lease. The company reported preliminary terms in a letter of intent for 86 properties, but definitive renewals were not completed for all properties covered. Renewal terms, timing and rent spreads are not assured.
  • The business is highly dependent on USPS financial and operational stability. USPS facility closures, consolidation, reduced demand, non-renewal or inability to pay could lower occupancy and rental income. Pennsylvania represented 13.3% of first-half rental income.
  • Most leases have fixed rent, while property expenses may rise with inflation. Floating-rate debt and refinancing or capital-market access also pose risks, notwithstanding swaps. The company noted customary acquisition execution risks and REIT qualification and distribution requirements.
  • Subsequent events: on July 24, the company amended its credit facilities and exercised additional term-loan capacity. As of August 7, $190.0 million was drawn on term loans and none on the revolver. After quarter-end it issued 514,997 ATM shares for about $7.7 million gross and entered forward sales for 798,847 additional shares for about $12.0 million gross. It also acquired 15 properties for about $6.2 million and had definitive agreements for 15 more, approximately $3.9 million, subject to closing.
  • The board declared a $0.2375-per-share dividend payable August 31, 2023. Management reported effective disclosure controls, no material change in internal control, and no litigation expected to materially affect the company.

Important facts for investors to verify

  • Progress, final terms and rent outcomes for expired USPS leases, including properties still in holdover status.
  • Acquisition closings, funding sources and dilution from ATM and forward share sales.
  • Interest expense sensitivity, hedge coverage and debt maturities, especially the January 2026 revolver maturity and 2027–2028 term loans.
  • USPS exposure, geographic concentration and any changes in USPS facility plans or credit condition.
  • Related-party arrangements: management services for CEO-affiliated owners, a related-party office lease, and CEO personal guarantees on certain secured loans.
