RPM INTERNATIONAL INC annual report, FY2022

RPM International Inc. — FY2022 Form 10-K

Reporting period: Fiscal year ended May 31, 2022. This is an annual filing, not a standalone fourth-quarter report; separate Q4 results are not clearly provided in the filing text.

Business context

RPM manufactures and sells specialty paints, coatings, roofing systems, construction products, sealants, adhesives and related products through four segments: Construction Products Group (CPG), Performance Coatings Group (PCG), Consumer and Specialty Products Group (SPG). It operates in approximately 162 countries and territories; foreign operations generated about 30.8% of sales, with U.S. exports adding about 1.1%.

Financial performance

MetricFY2022FY2021
Net sales$6.708 billion$6.106 billion
Gross margin36.3%39.4%
Income before income taxes$606.8 million$668.4 million
Net income attributable to RPM shareholders$491.5 million$502.6 million
Diluted EPS$3.79$3.87
Cash from operating activities$178.7 million$766.2 million
Capital expenditures$222.4 million$157.2 million
  • Sales grew 9.8% overall, including 8.9% organic growth, 1.4% acquisition growth and a 0.5% adverse foreign-exchange impact.
  • Gross margin fell 3.1 percentage points, mainly due to raw-material, freight and wage inflation, partly offset by pricing and MAP to Growth savings. SG&A declined to 26.7% of sales from 27.3%.
  • Consolidated EBIT was $702.3 million, down from $709.4 million; EBIT margin was approximately 10.5%, versus 11.6%. Net margin was 7.3%, versus 8.2%.
  • Segment sales and income before taxes: CPG $2.486 billion and $396.5 million; PCG $1.188 billion and $139.1 million; Consumer $2.242 billion and $175.1 million; SPG $790.8 million and $121.9 million. Consumer pretax income declined from $354.8 million; the other three segments improved.
  • Operating cash flow dropped sharply as receivables and inventories absorbed cash. Inventory increased to $1.213 billion from $938.1 million; management cited inflation and safety-stock building. Operating cash flow less capital expenditures was negative $43.7 million.
  • Cash and cash equivalents were $201.7 million. Total debt was approximately $2.7 billion, compared with $2.4 billion a year earlier; debt-to-capital was 57.5%. Reported available liquidity, including cash and committed facilities, was $1.308 billion. Approximately $603.5 million of debt was classified as current, with fiscal 2023 debt maturities of about $603.8 million.

Material changes and unusual items

  • CPG, PCG and SPG benefited from stronger demand, price increases and/or recovery in industrial and energy-related markets. Consumer sales declined 2.3%, reflecting comparison with pandemic-driven DIY demand in FY2021 and supply constraints, particularly for alkyd-based products.
  • FY2022 included a $52.0 million net gain on asset sales, principally the sale-and-leaseback of Toronto real estate, which generated $48.0 million net proceeds and a $41.9 million gain. The filing also reports $7.6 million of net investment expense, versus $44.5 million of investment income in FY2021.
  • The effective tax rate decreased to 18.8% from 24.7%, including a valuation-allowance reduction. No goodwill impairment was recorded in FY2022.
  • RPM completed eight acquisitions during FY2022. It repurchased $52.5 million of shares and paid $204.4 million in dividends.

Outlook, risks and contingencies

  • The filing gives no specific quantified sales or earnings guidance. Management expects elevated raw-material, freight and wage costs to continue into FY2023 and intends to pursue further selling-price increases to offset them. Supplier force majeures and supply constraints may affect timely fulfillment.
  • MAP to Growth was formally concluded in May 2021, but remaining projects are expected to generate restructuring expense through FY2023; estimated future costs at May 31, 2022 were $2.5 million. The program’s cumulative expected costs were approximately $119.8 million.
  • Key risks include inflation and raw-material availability, Covid-related disruption, the effects of Russia’s invasion of Ukraine, foreign exchange, weather and climate-related events, competition, customer concentration, debt and refinancing, acquisitions, cybersecurity, product liability and environmental compliance.
  • A former distributor obtained a $6.0 million jury award; RPM accrued $2.6 million and both parties appealed. Management stated that environmental proceedings were not expected to materially affect consolidated results or financial condition; environmental reserves totaled $7.3 million current and noncurrent.
  • The independent auditor issued an unqualified opinion on the financial statements and internal controls. Goodwill valuation for certain reporting units was identified as a critical audit matter because of the judgment involved in forecasts, discount rates and valuation multiples.

Investor verification priorities

  • Assess whether pricing can keep pace with persistent input, freight and wage inflation without weakening demand or margins.
  • Examine the sustainability of operating cash flow and the working-capital build, including inventory levels and receivables collection.
  • Review the FY2023 refinancing and repayment plan for the approximately $603.8 million of scheduled debt maturities, alongside covenant headroom and available liquidity.
  • Separate recurring operating performance from the $52.0 million asset-sale gain and volatile investment results; evaluate the Consumer segment’s recovery from supply constraints and the prior-year demand surge.
  • Monitor the distributor litigation appeal, environmental and warranty exposures, and assumptions underlying goodwill valuations.
