Material changes versus the prior year

  • Revenue rose 5.8%, but Sony said it was essentially flat on a constant-currency basis. Yen depreciation supported reported sales and operating income.
  • Operating income improved by ¥42.1bn, mainly on stronger Devices, Game & Network Services, and Home Entertainment & Sound results. The company nevertheless remained loss-making for parent stockholders.
  • Mobile Communications swung from ¥12.6bn operating income to a ¥220.4bn operating loss, including a ¥176.0bn goodwill impairment.
  • Game & Network Services moved from an ¥18.8bn operating loss to ¥48.1bn income, supported by PS4 and network-services growth. Devices rose to ¥93.1bn operating income, led by image sensors.
  • Home Entertainment & Sound returned to operating income of ¥20.1bn from a ¥25.5bn loss. Imaging Products & Solutions operating income increased to ¥54.7bn despite lower sales.
  • Financial Services operating income increased to ¥193.3bn. All Other sales fell 42.8%, principally reflecting the PC business exit.
  • Interest-bearing debt decreased; parent stockholders’ equity increased modestly despite the annual net loss, in part because of equity issuance and other comprehensive income.

Outlook, management commentary, risks, and unusual items

  • Outlook: Sony’s February 2015 mid-range plan targets ROE above 10% and operating income above ¥500bn for FY ended March 31, 2018. It identifies Devices, Games & Network Services, Pictures, and Music as growth drivers; Imaging Products & Solutions and Video & Sound as stable profit generators; and TV and Mobile Communications as businesses focused on managing volatility.
  • Planned investment and costs: Management expected FY2016 capital expenditures of about ¥510bn, including approximately ¥290bn in semiconductors and ¥210bn for image-sensor capacity. FY2016 R&D was forecast at ¥490bn; restructuring charges were expected to be about ¥35bn. These are management expectations, not reported outcomes.
  • Restructuring and portfolio actions: Sony recorded ¥98.0bn of restructuring charges in FY2015 and completed the sale of its PC business in July 2014. The company anticipated fixed-cost reductions exceeding ¥100bn in FY2016 compared with FY2014.
  • Cybersecurity: A fall 2014 cyberattack on Sony Pictures led to theft and disclosure of business and employee information, disruption to IT systems, and approximately ¥4.9bn of investigation and remediation costs in FY2015. Related employee lawsuits were pending; potential losses were not estimable.
  • Other unusual items: The mobile goodwill impairment was a major charge. Sony also recorded a ¥5.1bn out-of-period adjustment that reduced FY2015 pretax income; it said the error was not material to prior periods or FY2015. The PC exit continued to generate costs.
  • Contingencies and risks: Antitrust investigations and purchaser lawsuits concerning optical disk drives and secondary batteries remained pending, with possible losses not estimable. Other key risks include intense competition and price erosion, smartphone demand and image-sensor customer concentration, foreign exchange exposure, impairment risk, insurance investment and interest-rate risks, cybersecurity, and pension and tax-asset assumptions.
  • Dividends and controls: Sony paid no FY2015 dividend. It planned a ¥10-per-share interim dividend for FY2016; the year-end amount was undetermined. Management and the auditor reported effective internal control over financial reporting as of March 31, 2015.

Most important facts for investors to verify

  • Confirm the reporting period: FY2015 ended March 31, 2015; the filing does not provide standalone 2014 Q4 financials.
  • Track whether mobile losses and restructuring costs decline, and whether the ¥176.0bn goodwill impairment signals further deterioration.
  • Assess the durability of PS4, network-services, and image-sensor demand, including customer concentration and planned capacity utilization.
  • Reconcile reported growth with constant-currency performance and monitor yen and U.S. dollar movements.
  • Review liquidity and debt excluding Financial Services, cash-flow conversion, credit-line availability, and the working-capital deficit.
  • Monitor the Pictures cyberattack’s remediation, litigation, and any further costs, as well as the unquantified antitrust and other legal exposures.
  • Evaluate delivery against the FY2018 operating-income and ROE targets, and confirm later capital spending, R&D, restructuring, and dividend decisions.
