  • Q2 SG&A was $121.3 million, down 0.6% year over year; first-half SG&A was $243.9 million, up 0.5%. Q2 depreciation and amortization was $6.3 million.
  • First-half investing cash flow was $(12.4) million, including $15.7 million of capital expenditures; financing cash flow was $(36.3) million, primarily reflecting $34.2 million of share repurchases. Cash, cash equivalents and restricted cash ended the half at $107.8 million.
  • At June 25, cash and cash equivalents were $49.7 million, with no debt. The $300 million revolving facility had $202.1 million available for additional borrowing under the most restrictive covenant; reported total liquidity was $251.8 million. The company was in compliance with its covenants.
  • Total assets were $924.9 million and total liabilities were $470.8 million. Workers’ compensation reserves totaled $231.1 million, net of discount.

Material changes and management commentary

  • Q2 revenue declined 16.5%; first-half revenue declined 16.1%. Management attributed the broad-based declines to economic uncertainty and clients’ reduced or more selective hiring and contingent-labor demand.
  • Q2 segment revenue fell 13.4% at PeopleReady, 33.2% at PeopleScout and 13.2% at PeopleManagement. PeopleScout faced lower hiring volumes, hiring freezes and clients using internal recruiting resources.
  • Q2 gross margin contracted 40 basis points, mainly from mix shifting toward lower-margin staffing businesses; lower workers’ compensation costs and higher bill rates partly offset the pressure. First-half gross margin expanded 40 basis points.
  • Q2 included a $9.5 million non-cash impairment charge: $8.9 million of PeopleScout MSP goodwill and $0.6 million for a PeopleManagement trade name. PeopleScout MSP’s remaining goodwill was $0.8 million. Management linked the goodwill impairment to lower revenue projections, macroeconomic conditions and insufficient technology investment amid increased competition.
  • Cost reductions generated approximately $4 million of Q2 savings and $5 million for the first half, partly offset by employee-cost inflation, particularly medical benefits. The prior-year Q2 SG&A comparison included a $3.3 million benefit from reversing former-CEO compensation accruals.
  • First-half operating cash flow was lower year over year. Management cited lower earnings and working-capital movements, including receivables collections partly offset by payments on accounts payable and accrued expenses; workers’ compensation reserves also declined as contingent-labor activity fell.

Outlook, risks and contingencies

  • Management expected Q3 2023 revenue to decline 12%–16% year over year; gross margin to expand 0–40 basis points; and SG&A of $122–$126 million. For fiscal 2023, it expected gross-margin expansion of 0–60 basis points and SG&A of $492–$498 million.
  • Fiscal 2023 guidance included an expected income-tax benefit of $2–$3 million and a 53rd week expected to add $22–$27 million of revenue, with no significant net-income contribution. Expected capital expenditures and SaaS-asset spending were $36–$40 million for the year.
  • Demand for the company’s services is cyclical and sensitive to economic and labor-market conditions. Management said further PeopleScout MSP revenue declines beyond its revised projections could cause additional impairment. Workers’ compensation collateral requirements may increase, and favorable reserve adjustments may diminish.
  • Workers’ compensation collateral commitments totaled $195.4 million. Management said estimated legal liabilities and reasonably possible losses above accruals were immaterial, while noting actual outcomes could differ. The filing reported no material change in previously disclosed risk factors and no material change in internal control over financial reporting; disclosure controls were considered effective at a reasonable assurance level.

Important facts for investors to verify

  • Whether demand declines across all three segments stabilize or worsen, particularly at PeopleScout MSP.
  • Whether Q3 and full-year revenue, margin, SG&A, tax and capital-spending expectations are achieved.
  • Whether the PeopleScout MSP impairment assumptions remain appropriate and whether further impairment indicators emerge.
  • How workers’ compensation claims, reserve development and collateral requirements affect cash availability and liquidity.
  • The sustainability of cash generation given first-half operating cash flow of $20.9 million and $34.2 million of first-half share repurchases.
