Material Changes Versus the Prior Comparable Period

  • Organic Q2 sales increased 17.6%; acquisition sales contributed $31 million, primarily from DART Aerospace. Commercial aftermarket sales increased 38.1%, commercial OEM sales increased 23.7%, and defense sales increased 5.0%.
  • Power & Control sales increased 15.3% to $816 million; Airframe sales increased 26.6% to $733 million; Non-aviation sales increased 7.5% to $43 million.
  • Gross margin and EBITDA As Defined margin expanded, reflecting higher commercial aftermarket volume, favorable mix, fixed-cost leverage and the company’s value-driven operating strategies, partly despite inflation in freight, labor and raw materials.
  • Interest expense increased as floating-rate borrowing costs rose. The weighted-average cash interest rate increased to 6.2% from 5.1%.
  • The company refinanced approximately $8.4 billion of gross debt during the first half of fiscal 2023. Tranche H term loans mature in 2027, Tranche I term loans mature in 2028, and $2.1 billion of 6.75% secured notes due 2028 replaced or funded the refinancing of nearer-term debt.
  • No share repurchases were made in the first half of fiscal 2023, compared with $667 million of repurchases in the prior-year second quarter. $1,288 million remained available under the repurchase authorization.
  • Inventory increased to $1,529 million from $1,332 million at September 30, 2022, and inventory was a $176 million use of operating cash, reflecting higher purchasing and supply-chain requirements.

Guidance, Outlook, Risks and Unusual Items

Management stated that commercial aerospace markets continued to recover in the first half of fiscal 2023 and expected commercial aerospace end markets to continue progressing during fiscal 2023, absent significant disruptions. Domestic air travel recovery was stronger than international recovery. Commercial OEM demand was improving, but Boeing and Airbus supply-chain constraints were slowing aircraft production. Defense demand was less affected by the pandemic, although government spending outlays and funding priorities remained uncertain. The filing does not provide explicit numerical fiscal-year revenue or earnings guidance.

  • Key risks include sensitivity to flight hours and airline profitability, commercial aerospace recovery timing, OEM supply-chain constraints, raw-material and labor availability, inflation, interest rates, foreign exchange, geopolitical events, cybersecurity, government spending and audits, customer concentration, acquisition integration, leverage, litigation and environmental liabilities.
  • TransDigm reported no material changes to the risk factors in its fiscal 2022 Form 10-K and stated that it was in compliance with debt covenants.
  • On April 10, 2023, after the reporting date, the company redeemed $1,100 million of 8.00% 2025 secured notes, paying approximately $1.7 million of accrued interest and a $22 million early-redemption premium.
  • On May 8, 2023, after the reporting date, the company completed the approximately $725 million cash acquisition of Calspan Corporation, funded with existing cash. Calspan will be included in the Airframe segment.
  • The Department of Defense Inspector General recommended a voluntary refund of at least $20.8 million relating to 150 audited contracts. The company disagrees with the report’s analysis and recorded no loss contingency because payment remained uncertain.
  • The company was subject to tax examinations in Canada, Germany and certain U.S. states. Unrecognized tax benefits were $17.0 million at April 1, 2023.
  • Management concluded that disclosure controls and procedures were effective and that no material changes occurred in internal control over financial reporting during the quarter.

Important Facts for Investors to Verify

  1. Reconcile reported EBITDA As Defined of $817 million with GAAP income from continuing operations of $304 million; EBITDA As Defined is non-GAAP and excludes substantial interest, tax and other costs.

  3. Confirm the April 2023 redemption of the 2025 secured notes and the effect of the $22 million premium on subsequent-period results and cash.
  4. Evaluate the cash and leverage impact of the $725 million Calspan acquisition and its post-closing contribution to revenue and EBITDA.
  5. Monitor commercial aftermarket recovery, commercial OEM production constraints and defense-spending outlays, which were primary drivers of sales growth.
  6. Follow the DOD OIG refund matter, tax examinations, supply-chain and labor constraints, and the company’s elevated inventory balance and working-capital requirements.
