Total debt was $34.917 billion, including $3.609 billion of short-term obligations and current maturities. The company had a $5.0 billion revolving facility with no borrowings outstanding and said available cash, operating cash flow and borrowing capacity should meet requirements for at least the next 24 months. Cash dividends paid were $523 million; $3.0 billion of shares were repurchased during 2023.

Segment revenue and operating trends

  • Life Sciences Solutions revenue fell 26% to $9.977 billion, primarily reflecting lower COVID-19-related demand; segment income margin declined 6.9 points to 34.3%.
  • Analytical Instruments revenue rose 10% to $7.263 billion, with strength in electron microscopy and chromatography and mass spectrometry; margin increased 3.5 points to 26.3%.
  • Specialty Diagnostics revenue fell 8% to $4.405 billion, mainly due to lower COVID-19 testing; margin increased 4.0 points to 25.5%.
  • Laboratory Products and Biopharma Services revenue rose 2% to $23.041 billion, led by clinical research and pharma services; margin increased 1.8 points to 14.6%.

Material changes, outlook and risks

Management attributed the overall revenue decline chiefly to lower COVID-19 testing, therapy and vaccine demand, alongside challenging macroeconomic conditions and low economic activity in China. COVID-19 testing product sales were $0.33 billion, compared with $3.11 billion in 2022. Academic and government demand was broadly strong, as was industrial and applied demand, particularly in semiconductor and materials science markets. Productivity improvements and pricing partly offset lower volumes and inflation.

Restructuring and other costs were $459 million, versus $114 million in 2022. The company estimated that 2023 restructuring actions costing approximately $0.2 billion would generate about $0.5 billion in annual savings. Further restructuring charges of approximately $70 million were identified as of February 22, 2024. For 2024, management expected a GAAP tax rate of 4%–6%, an adjusted tax rate of approximately 10.5%, and capital expenditures net of disposals of $1.3–$1.5 billion. The filing does not provide clear 2024 revenue or EPS guidance.

The company agreed to acquire Olink for approximately $3.1 billion, subject to customary conditions and regulatory approvals, and expected completion by mid-2024. It also acquired The Binding Site and CorEvitas in 2023 for aggregate purchase prices of approximately $3.61 billion. Key risks include market and customer spending weakness, China and geopolitical exposure, currency and inflation pressures, constrained suppliers, cyber and data privacy incidents, regulatory and product-quality matters, and the company’s substantial debt. Goodwill was $44.02 billion; one clinical research reporting unit had only 4% excess fair value over carrying value, making impairment sensitive to weaker cash flows or market assumptions.

Contingencies include $75 million of accrued environmental liabilities and a $224 million accrual for product liability, workers’ compensation and other personal injury matters, before $88 million of estimated insurance recoveries. Management cautioned that unfavorable outcomes exceeding current estimates could materially affect results, financial position or cash flows. The 2023 GAAP tax rate was unusually low at 4.5%, reflecting tax benefits including valuation allowance changes, U.S. tax credits and intra-entity transactions; adjusted tax rate was 10.0%.

Important facts for investors to verify

  • Whether underlying demand and revenue stabilize as COVID-19-related sales continue to normalize, and how customer demand in China develops.
  • Whether planned restructuring savings are realized and margins recover, particularly in Life Sciences Solutions.
  • Olink transaction approval, closing timing, financing and post-acquisition integration.
  • Debt repayment and refinancing needs, interest costs, and compliance with the revolving facility’s 3.5:1.0 minimum interest coverage covenant.
  • The assumptions supporting the clinical research reporting unit’s goodwill valuation and the recoverability of the company’s substantial goodwill and intangible assets.
  • Tax-rate sustainability, tax examination outcomes, and the effect of future tax law changes; the filing identifies income taxes as a critical audit matter.
