VISTA GOLD CORP annual report, FY2019

Vista Gold Corp. — FY2019 Form 10-K

Reporting period: Fiscal year ended December 31, 2019; filed February 26, 2020. Amounts are in U.S. dollars, generally thousands, unless noted. The company is an exploration- and development-stage gold company with no mine operating revenue.

Business context and reporting period

Vista’s principal asset is its 100%-owned Mt Todd gold project in Australia’s Northern Territory. The company also holds marketable securities, royalty interests and a Mexican project subject to an option agreement. It reported one operating segment, focused principally on project evaluation, exploration and advancement.

Financial performance, cash flow and liquidity

MetricFY2019FY2018

Net loss$9.386 million$8.714 million
Net loss per share$0.09$0.09
Cash used in operating activities$7.053 million$8.567 million
Cash provided by investing activities$7.377 million$8.304 million

Fourth-quarter 2019 net loss was $1.192 million, compared with $3.781 million in fourth-quarter 2018. No quarterly revenue was reported.

At year-end, cash and short-term investments totaled $4.668 million, versus $8.068 million a year earlier; working capital was $7.756 million, down from $13.198 million. Total assets were $16.684 million and total liabilities $4.038 million. The company reported no debt; it had $89,000 of lease liabilities. Management believed available working capital and potential non-dilutive funding sources would cover planned expenses for more than 12 months, while noting longer-term viability depends on maintaining low spending, monetizing assets and potentially raising equity.

Changes versus prior year and unusual items

  • Net loss increased by $672,000, principally reflecting a $1.643 million loss on other investments in 2019, mainly from fair-value changes in Midas Gold and other shares, versus a $1.716 million gain in 2018.
  • Operating expenses fell to $8.085 million from $10.858 million. The 2018 comparison included a $1.000 million impairment of used mill equipment and a $695,000 depreciation adjustment; no further equipment impairment was recorded in 2019.
  • Operating cash use declined by $1.514 million, reflecting lower exploration spending and the absence of the prior-year reduction in accounts payable and accrued liabilities.
  • Investing cash inflows included $3.737 million of net short-term investment redemptions and $3.267 million of net proceeds from option/sale agreements. Vista received the third $1.5 million Los Reyes option payment in October 2019; one $1.5 million payment remains due at the optionholder’s discretion in October 2021.
  • Cash and working capital declined despite those inflows, due mainly to ongoing operating expenditures and a reduction in the fair value of marketable securities.

Mt Todd outlook, guidance and principal risks

The October 2019 preliminary feasibility study (PFS) is a project scenario, not company production guidance. Its 50,000-tonne-per-day base case estimates 5.848 million ounces of NI 43-101 proven and probable reserves, a 13-year mine life, average annual production of 413,400 ounces (495,100 ounces in the first five years), life-of-mine cash costs of $645 per ounce and AISC of $746 per ounce. Estimated initial capital is $826 million; after-tax NPV at 5% is $823 million and after-tax IRR is 23.4%, using $1,350 gold and an AUD:USD rate of 0.70. These estimates rely on study assumptions, including permitting, financing, recoveries, costs, tax treatment and salvage values.

Vista plans in 2020 to seek a Mt Todd development partner, continue project optimization and environmental stewardship, and work toward approval of the Mine Management Plan (MMP), which remained under regulatory review. The company expected approximately $2.8 million of 2020 spending for Mt Todd activities and related fixed costs. The PFS anticipates substantial construction financing; the company had not made a construction decision. Vista cautions that Mt Todd has no known reserves under SEC Industry Guide 7 and remains exploratory in nature; Canadian NI 43-101 reserve and resource classifications are not directly comparable to historical SEC standards.

  • Key risks include inability to secure financing or a development partner, failure or delay in permits, adverse gold prices, cost escalation, water availability, environmental and reclamation obligations, and uncertainty in study assumptions and resource estimates.
  • The 2014 environmental impact statement and 2018 federal Gouldian Finch authorization were approved, but the MMP was still pending. Vista would assume substantial historical Mt Todd reclamation responsibilities and bonding obligations if it proceeds with development.
  • A $240,000 accrual covered reclamation of certain British Columbia claims; the company said it was awaiting formal acceptance of its plan. No material litigation was reported.
  • Management identified the company as likely a passive foreign investment company (PFIC), potentially resulting in adverse U.S. tax treatment for U.S. shareholders.
  • An at-the-market facility permitted up to $10 million of share sales, but none had occurred by December 31, 2019. The company had 100.7 million shares outstanding at year-end.

Management reported effective disclosure controls and internal control over financial reporting; the auditor issued unqualified opinions on the financial statements and internal control.

Most important facts for investors to verify

  • Whether Mt Todd’s MMP and other required approvals are obtained, and whether a development partner or financing is secured for the estimated $826 million initial capital requirement.
  • Whether the PFS production, recovery, cost and return estimates remain supportable under current gold prices, foreign exchange rates and updated capital and operating costs.
  • Cash runway and actual spending versus management’s outlook, including whether option, royalty or equipment monetization proceeds are realized and whether equity issuance becomes necessary.
  • Fair value and concentration risk of the Midas Gold and other shareholdings, which materially affected reported earnings and liquidity.
  • The status of Mt Todd water supply, reclamation and bonding obligations, pending permits, and the BC reclamation plan and accrued liability.
  • The timing and collectability of remaining Los Reyes and Awak Mas-related payments, royalties and other contingent proceeds.
