Cash Flow, Debt and Liquidity

  • Cash flow from operating activities from continuing operations was $145 million, compared with $76 million in Q1 2023.
  • Capital expenditures were $306 million, compared with $224 million in Q1 2023. The filing therefore indicates cash investment substantially exceeded operating cash generation during the quarter.
  • Cash used in investing activities was $299 million; cash used in financing activities was $29 million.
  • Cash and cash equivalents declined to $229 million at March 31, 2024, from $412 million at December 31, 2023. Cash, cash equivalents and restricted cash totaled $235 million at quarter-end.
  • Total debt had a principal balance of $3,499 million and a carrying value of $3,386 million, including $3,323 million of long-term debt. The term loan interest rate was approximately 7.32% at quarter-end.
  • ABL Facility availability was $564 million, based on a $565 million borrowing base. XPO also had $793 million of total liquidity, including cash and available borrowing capacity.
  • The European receivables securitization program, with approximately $216 million of capacity, was fully utilized at March 31, 2024 and carried a weighted-average interest rate of 5.41%.
  • XPO was in compliance with its debt covenants and stated that existing liquidity and capital sources were sufficient to support operations over the next 12 months.

Material Changes Versus the Prior Comparable Period

  • Profitability improved substantially, driven primarily by stronger North American LTL pricing and volume, lower purchased transportation costs, lower fuel and bad debt expense, and lower damage claims.
  • Interest expense increased 38.1% to $58 million, primarily because of debt issued in Q4 2023 to finance the Yellow Asset Acquisition and higher prevailing interest rates.
  • Transaction and integration costs decreased to $14 million from $22 million, while restructuring costs decreased to $8 million from $24 million.
  • The December 2023 acquisition of 28 former Yellow service centers, representing approximately 2,900 doors, expanded North American LTL network capacity. XPO expects the net increase in service centers and doors to be less than the gross number acquired as it rationalizes its footprint.
  • Capital expenditures increased by $82 million year over year, reflecting continued investment in long-term growth capacity.

Guidance, Outlook, Risks and Unusual Items

  • Management described the 2024 freight environment as continuing to be recessionary because of supply-and-demand conditions, but expects growth potential from capacity investments, profitable market-share gains, pricing and technology initiatives.
  • Full-year 2024 gross capital expenditures are expected to be $700 million to $800 million, funded by cash on hand and available liquidity.
  • Management expects stock-based compensation costs related to previously announced strategic initiatives to conclude in 2024.
  • Restructuring charges were $8 million in Q1 2024, primarily related to European Transportation. The majority of related severance cash outlays are expected within 12 months.
  • XPO faces ordinary-course transportation, environmental, insurance, employment and commercial litigation risks. In the Allianz insurance contribution litigation, the company has accrued an immaterial amount, but potential losses related to certain fronting policies are not reasonably estimable. Trials are scheduled for fall 2024 and early 2025.
  • A California environmental matter was resolved for $7.9 million in April 2024; the company had previously accrued for the matter.
  • Foreign exchange, interest-rate and commodity-price exposure remain relevant. XPO uses cross-currency and interest-rate hedges; the filing reports $21 million of derivative liabilities at March 31, 2024.
  • No material changes were reported to previously disclosed risk factors, and management concluded that disclosure controls and procedures were effective as of March 31, 2024.

Investor Verification Items

  • Verify whether North American LTL pricing, shipment growth and margins remain durable in the recessionary freight environment.
  • Track the operational and financial contribution of the former Yellow service centers and any subsequent network rationalization.
  • Reconcile planned $700 million to $800 million of 2024 capital expenditures with operating cash flow, leverage and liquidity.
  • Monitor the fully utilized European receivables securitization program and the company’s ability to maintain access to working-capital financing.
  • Assess the effect of higher interest rates and the approximately $3.5 billion debt principal balance on future earnings and cash flow.
  • Follow the proposed European business divestiture, including timing, terms and any potential accounting or liquidity effects.
  • Review developments in the Allianz litigation and other legal or environmental contingencies, including possible losses that are currently not estimable.
