Pounds per day decreased 2.8%, while shipments per day increased 1.9% and gross revenue per hundredweight, excluding fuel surcharges, increased 1.4%.
- European Transportation: Q2 revenue declined 3.2% to $781 million and Adjusted EBITDA declined 6.1% to $46 million. The Adjusted EBITDA margin was stable at 6.0%. Lower fuel surcharge revenue and cost inflation were substantially offset by lower purchased transportation, fuel and temporary labor costs.

Material changes versus the prior comparable period
- Q2 revenue decreased 6.4%; six-month revenue decreased 3.0%, primarily because of lower fuel surcharge revenue from lower diesel prices.
- Q2 operating income decreased 37.4%, and the operating margin declined 280 basis points to 5.6%. Six-month operating income decreased 29.5%.
- Salaries, wages and employee benefits increased to 40.8% of Q2 revenue from 36.7%, reflecting inflation and greater insourcing of linehaul transportation.
- Purchased transportation declined to 23.2% of Q2 revenue from 25.6%, reflecting lower third-party rates and greater insourcing. Fuel, operating expenses and supplies also declined as a percentage of revenue.
- Transaction and integration costs increased to $17 million from $7 million in Q2 and to $39 million from $14 million for the six-month period. Restructuring costs increased to $10 million from $2 million in Q2 and to $34 million from $8 million for six months.
- Interest expense increased 38.7% in Q2 and 25.0% for six months, primarily because of higher floating interest rates.
- Net income comparisons were significantly affected by discontinued operations. Six-month 2022 included $501 million of discontinued-operation income, while six-month 2023 included a $1 million loss.
- Operating cash flow from continuing operations declined $150 million to $207 million, while capital expenditures increased $113 million to $355 million.
Guidance, outlook, risks and unusual items
- Management expects 2023 gross capital expenditures of $500 million to $600 million, funded by cash on hand and available liquidity.
- Management stated that existing liquidity and capital sources are sufficient to support operations for the next 12 months.
- XPO is targeting more than 6,000 trailers produced in 2023 and 900 net new LTL terminal doors by the first quarter of 2024 from an October 2021 baseline. The company had added 473 net new doors as of the filing.
- Management described the freight environment as soft, particularly in North American LTL. The recent cessation of operations by an LTL competitor could create volume opportunities but also presents uncertain operational and competitive effects.
- XPO expects additional transaction and integration costs related to stock-based compensation in 2023 and 2024.
- Material exposures include fuel prices, interest rates, foreign currency movements, labor and cost inflation, freight volumes, insurance claims, customer credit, legal proceedings and environmental matters.
- In the Allianz insurance contribution litigation, potential exposure related to certain fronting policies was not reasonably estimable and no liability was accrued, apart from an immaterial accrual related to Centron. Trials concerning pollution exclusion and allocation issues were scheduled for 2024.
- XPO is also responding to a California investigation concerning underground storage tanks, hazardous materials and hazardous waste. Potential monetary sanctions or settlement costs were not discussed and could not be reasonably estimated.
- Management reported effective disclosure controls and no material changes to internal control over financial reporting. The filing states there were no material changes to previously disclosed risk factors.
Important facts for investors to verify
- Whether LTL volume and pricing trends improve after the industry competitor’s exit, and whether July volume increases persist.
- Whether cost inflation, insourcing and higher depreciation are offset by pricing, productivity and network density.
- The sustainability of cash generation relative to the $500 million to $600 million 2023 capital expenditure plan.
- Interest-rate exposure on the $700 million floating-rate term loan and the effect of refinancing on future interest expense.
- Compliance with debt covenants, ABL availability and the timing of the $112 million 2025 maturity.
- The magnitude and duration of restructuring and transaction-related costs, including expected stock-based compensation costs in 2023 and 2024.
- Potential outcomes and financial exposure from the Allianz litigation and California environmental investigation, for which the filing does not provide clear estimated loss amounts.
