Results included a $450 million pretax gain on the sale of the North American intermodal operation. Excluding this unusual gain, underlying operating profitability was materially less than reported operating income suggests. Cost of transportation and services increased to 70.2% of revenue from 68.7%, primarily because of higher third-party transportation costs. SG&A declined to 9.9% of revenue from 11.3%, while depreciation and amortization was $116 million versus $119 million.
North American LTL revenue increased 14.9% to $1.105 billion, while adjusted EBITDA declined 4.2% to $205 million and margin fell to 18.5% from 22.2%. LTL pounds per day declined 0.8%, but gross revenue per hundredweight excluding fuel surcharges increased 8.7%. Brokerage and Other Services revenue increased 17.4% to $2.432 billion, and adjusted EBITDA increased 31.2% to $164 million, with margin improving to 6.7% from 6.1%.
Net cash provided by operating activities from continuing operations was $200 million, compared with $77 million in the prior-year quarter. Investing activities provided $571 million, principally from $705 million of proceeds from the intermodal sale, offset by $137 million of capital expenditures. Financing activities used $24 million, compared with $1.464 billion used in Q1 2021, when the company redeemed debt and repaid ABL borrowings.
Cash and cash equivalents were $1.004 billion at March 31, 2022, compared with $260 million at December 31, 2021. Management reported approximately $2.0 billion of total liquidity, including $996 million available under the ABL Facility. Total debt was $3.677 billion principal, with $2.995 billion classified as long-term debt; the company was in compliance with its debt covenants. Accounts receivable securitization availability was approximately $1 million of the approximately $221 million maximum capacity.
Material changes versus the prior comparable period
- Revenue growth reflected higher activity across both operating segments and increased fuel surcharge revenue; foreign exchange reduced reported revenue growth by approximately 1.2 percentage points.
- Operating income and EPS increased substantially, primarily because of the $450 million intermodal-sale gain.
- Interest expense decreased to $37 million from $65 million because of lower average indebtedness.
- The company sold its North American intermodal operation in March 2022 for approximately $705 million of cash proceeds and recorded a $450 million pretax gain.
- The company announced a plan to spin off its North American technology-enabled brokered transportation platform and sell or list its European business. The planned spin-off was expected in the fourth quarter of 2022, subject to regulatory, tax, financing, board and other conditions.
- In April 2022, after quarter-end, the company redeemed $630 million principal amount of its 6.25% senior notes due 2025. A debt-extinguishment loss of approximately $26 million was expected in Q2 2022.
- Remaining share-repurchase authorization was $503 million, although no repurchases had occurred since Q1 2020.
Guidance, outlook, risks and unusual items
Management expected full-year 2022 net capital expenditures of $425 million to $475 million, excluding the planned spin-off and other dispositions, and stated that available liquidity and capital sources were sufficient to support operations for the next 12 months. Management highlighted planned LTL network expansion, including a goal of adding 900 net new doors by year-end 2023, increased trailer manufacturing capacity and approximately 1,800 driver-school graduates in 2022.
Labor shortages, driver and equipment constraints, inflation, fuel prices, higher wages, interest rates, supply-chain disruptions and foreign exchange movements could pressure results. Fuel surcharge provisions and pricing actions largely offset higher transportation procurement costs in the quarter, but sustained inflation may not be fully recoverable through pricing. The company stated that it had no direct exposure to Russia or Ukraine but could not predict broader effects from the war or related sanctions.
The planned spin-off and European divestiture may be delayed, modified or not completed. Risks include failure to obtain tax or regulatory approvals, inability to refinance debt on acceptable terms, separation costs, business disruption and failure to achieve expected benefits. The company also faces transportation-related litigation, misclassification claims involving independent contractors, shareholder litigation and insurance contribution litigation; certain potential exposures are not reasonably estimable and are not fully insured or accrued. Management stated that no disclosed matter was expected to have a material adverse effect, although an unfavorable resolution could materially affect results, liquidity or cash flows.
Investor verification points
- Reconcile reported operating income and EPS to results excluding the $450 million intermodal-sale gain and assess recurring margins.
- Monitor LTL volume, yield, purchased transportation, fuel costs and the decline in LTL adjusted EBITDA margin.
- Verify completion, financing, tax treatment, timing and separation costs of the planned brokered-platform spin-off and European divestiture.
- Assess post-quarter-end leverage and liquidity after the $630 million senior-note redemption and the approximately $26 million expected extinguishment loss.
- Compare actual capital expenditures with the $425 million–$475 million 2022 outlook.
- Review legal, contractor-misclassification and insurance-contingency developments, including matters for which no reliable loss range was disclosed.
