Material Changes Versus the Prior Comparable Period

  • Revenue and earnings benefited substantially from the inclusion of a full year of Sensus, acquired for approximately $1.766 billion, including assumed goodwill of approximately $1.063 billion.
  • Operating performance improved through procurement, productivity, and restructuring savings, although cost inflation, strategic investments, unfavorable mix, and Sensus purchase-accounting effects limited adjusted margin expansion.
  • Operating cash flow increased $189 million, supported by Sensus and stronger operating performance. Capital expenditures rose to $170 million from $124 million.
  • Investing cash outflows declined sharply because 2016 included approximately $1.782 billion of acquisition spending; 2017 acquisition spending was approximately $33 million.
  • Financing cash flow was negative $421 million in 2017, reflecting debt repayment, dividends, and share repurchases, compared with positive $1.034 billion in 2016 when acquisition-related debt was issued.
  • Foreign currency translation produced a favorable $22 million cash impact and increased reported revenue by approximately 0.9%.
  • Research and development spending increased to $180 million, or 3.8% of revenue, from $110 million, or 2.9% of revenue.

Liquidity, Debt, and Capital Allocation

Xylem had $2.2 billion of total debt at December 31, 2017, consisting primarily of fixed-rate senior notes due 2021, 2023, 2026, and 2046. The $600 million revolving credit facility was undrawn, the commercial paper program was undrawn, and the Company reported compliance with its debt covenants. Management stated that operating cash flow, cash balances, commercial paper access, committed credit facilities, and public debt-market access were expected to provide sufficient liquidity for the next twelve months.

The Company paid $130 million of dividends in 2017 and declared dividends of $0.72 per share for the year. It repurchased approximately 0.5 million shares for $25 million, including $7 million under the $500 million board-authorized repurchase program; $413 million remained available under that program at year-end.
