- Revenue grew 17% in Q3 and 13% over nine months. PG generated $1,798 in Q3 and $4,994 year to date; CP generated $289 and $815, respectively. Year-to-date PG revenue increased 15%, while CP revenue declined 1%.
- Monitoring revenue rose 9% to $3,172 for nine months; hardware revenue rose to $2,637 from $2,241. The company cited growth in monitored connections, customer growth, custom PG units, and other PG product sales.
- Gross margin improved year over year. Management attributed prior-year pressure partly to a $31 obsolete CP inventory write-off and monitoring rebates to two large customers.
- Nine-month operating expenses were $4,360, including R&D of $614 and SG&A of $3,746. Q3 SG&A included $102 of reverse-split-related costs; corporate overhead is expected to rise in coming quarters due to audit and board fees and potential growth support.
Cash, liquidity, and obligations
- Cash was $1,749 at September 30, up $299 from year-end 2022; cash was $1,684 on November 7, 2023. Nine-month operating cash flow was $366, investing cash outflow was $72, and financing cash inflow was $5.
- Working capital was negative $513. Current liabilities included $4,270 of deferred revenue, which management says does not require significant cash outlay to recognize. Total deferred revenue/backlog was $6,211, of which $4,270 was expected to be recognized within twelve months.
- Management believes available cash plus operating cash generation will fund operations at current levels for twelve months from issuance; it may seek financing for additional investment. No conventional borrowings are reported. Operating lease liabilities totaled $250, including $121 current.
- Contractual cash obligations totaled $879, including $603 of open purchase orders expected to be payable over the next twelve months, $261 of gross lease payments, and $15 of other contractual commitments.
Material changes, outlook, and risks
- Effective September 1, OmniMetrix launched updated hardware that can operate separately from its monitoring service. For the new version, hardware revenue, related costs, and commissions are recognized on shipment; monitoring revenue remains deferred over the service period. Management says only updated products were sold after August 31. The filing does not quantify the prospective effect of this accounting change on reported results.
- A new customer portal was deployed October 1, 2023; the former interface is scheduled to end December 31. The company had capitalized $178 of development costs and began amortization upon deployment.
- A November 7 non-exclusive reseller agreement could, according to management, produce 2,500–3,000 monitoring connections and $1–$2 million of annual aggregate hardware, start-up, and monitoring revenue as it rolls out. Initial revenue is expected in Q1 2024; this is an estimate, not formal company-wide guidance.
- Management is offering eligible generator owners a one-time $200 rebate for joining a demand-response program before March 31, 2024. Backlog was $6,211 versus $6,053 a year earlier; hardware backlog is expected to be recognized through August 2026, while monitoring backlog is recognized over service periods.
- Acorn completed a 1-for-16 reverse stock split effective September 7, 2023. The company recorded $102 of related costs in the first nine months. All share and per-share figures are retroactively adjusted.
- Prior-year results included a $51 software impairment related to a terminated ERP customization project; no such impairment was recorded in 2023. Inventory write-offs were $9 in the first nine months of 2023.
- Disclosure controls and procedures were reported as ineffective due to previously identified material weaknesses, attributed to insufficient subsidiary resources and limited ERP capabilities. Management reported no material change in internal control over financial reporting during the quarter.
- Risks identified include customer credit defaults, dependence on management and key personnel, quarterly variability, competition, and execution of the growth strategy. One customer accounted for 11% of nine-month invoiced sales; no customer exceeded 10% of receivables at quarter-end.
Important facts for investors to verify
- Progress remediating the material weaknesses and whether disclosure controls become effective.
- Cash generation and the twelve-month liquidity assessment, particularly given negative working capital and planned investments.
- How the new hardware revenue-recognition model affects revenue, margins, deferred revenue, and comparability with prior periods.
- Whether the reseller relationship achieves the projected rollout, connections, timing, and annual revenue potential.
- The composition and conversion timing of the $6,211 backlog, including the portion expected within twelve months.
- Potential concentration, demand, and execution risks in PG and CP markets, and the impact of rising corporate overhead.
