Business context and reporting period
Adagene Inc. filed this annual report on Form 20-F for the fiscal year ended December 31, 2020. It is a Cayman Islands holding company with operations primarily in China and a clinical-stage biotechnology business focused on antibody-based cancer immunotherapies. Its Dynamic Precision Library platform includes NEObody, SAFEbody and POWERbody technologies. The company had no approved products and no product-sales revenue. This filing reports annual results; it does not provide a separate 2020 fourth-quarter income statement.
Lead clinical programs were ADG106 (anti-CD137), ADG126 and ADG116 (anti-CTLA-4); ADG104 (anti-PD-L1) was licensed in Greater China. The clinical and pipeline updates in the filing often describe developments through March or April 2021, after the reporting period.
Financial results and liquidity
Amounts below are in U.S. dollars; financial statements are prepared under U.S. GAAP. Revenue was primarily licensing and collaboration-related, not product sales.

|---|---|---|
| Licensing revenue | $0.48 million | $0.70 million |
| Research and development expense | $16.21 million | $33.54 million |

| Net loss per ordinary share, basic and diluted | $1.10 | $2.67 |
| Net cash used in operating activities | $18.15 million | $28.53 million |
| Cash and cash equivalents at year-end | $92.53 million | $75.15 million |
2020 licensing revenue increased 46% year over year. Operating expenses rose substantially: R&D increased 107%, reflecting personnel, share-based compensation, clinical and preclinical work, and manufacturing; administrative expense increased 200%, including higher compensation and share-based compensation. Share-based compensation was $10.13 million in 2020, compared with $0.61 million in 2019. Management’s non-GAAP net loss attributable to ordinary shareholders was $32.27 million in 2020, versus $15.82 million in 2019; this measure excludes share-based compensation and preferred-share accretion and should not be viewed as a substitute for GAAP results.
At December 31, 2020, current assets were $79.10 million and current liabilities were $16.15 million. Total borrowings were $7.98 million ($5.02 million current and $2.97 million long-term); total liabilities were $19.20 million. Short-term investments were nil, down from $8.00 million in 2019. Cash used in investing activities was $7.07 million, mainly reflecting withdrawal of short-term investments, while financing activities generated $4.44 million, principally from borrowings. The balance sheet also reported $154.45 million of convertible redeemable preferred shares as mezzanine equity and a shareholders’ deficit of $89.39 million.
After year-end, the February 2021 IPO generated approximately $145.9 million in net proceeds. Management stated that year-end cash plus IPO proceeds were expected to fund working capital and capital expenditure requirements for at least 12 months under its current operating plan. This is a forward-looking estimate, not a guarantee. The company also reported receiving an $11 million Exelixis upfront payment in 2021; neither amount was included in year-end 2020 cash.
Material changes, outlook and key risks
- Losses and spending: Net loss widened to $42.40 million from $16.43 million, while operating cash use increased to $28.53 million from $18.15 million. The company expects significant continuing losses and higher spending as it advances clinical programs and expands operations; it gave no product-revenue or profitability guidance.
- Clinical development: Management reported preliminary ADG106 activity, including one partial response among 81 patients assessed and a 56% disease-control rate. These are early-stage results and are not evidence of approval or established efficacy. ADG126 entered Phase I dose escalation in 2021. ADG116’s U.S. Phase I study had been placed on hold after the death of the only patient dosed in 2019; FDA lifted the hold in December 2019 after protocol changes. The company reported subsequent Australian dose-escalation experience without drug-related Grade 2 or higher events as of April 2021, but further safety and efficacy remain uncertain.
- COVID-19 and execution: The filing warns that the pandemic may disrupt trial enrollment, site operations, laboratory work, supply chains and regulatory reviews. Clinical outcomes, enrollment, manufacturing capacity, regulatory approvals and collaboration performance are uncertain.
- Funding and dilution: The company expects substantial further development costs and may need additional financing. Equity issuance could dilute shareholders; debt, partnerships or licensing could impose restrictions or require rights to be shared. Preferred shares carried redemption and liquidation terms before their conversion in the February 2021 IPO.
- Manufacturing and related parties: The company relies on third parties, including WuXi Biologics, for clinical supply and manufacturing. WuXi-related entities are also shareholders or related parties; 2020 R&D service purchases from WuXi Biologics and WuXi AppTec Group were $7.22 million and $2.67 million, respectively.
- Controls and audit access: Management concluded disclosure controls were ineffective at December 31, 2020. The auditor identified two material weaknesses: insufficient U.S. GAAP/SEC reporting personnel and inadequate documented period-end closing and accrual procedures. The auditor issued an unqualified opinion on the financial statements, but its China-based firm was not then subject to PCAOB inspection; the filing describes potential U.S. listing consequences if inspection requirements are not met.
- Other exposures: The filing highlights PRC regulatory, foreign-exchange, data-transfer and tax uncertainties; intellectual-property and competition risks; possible future reimbursement and pricing constraints; and potential delisting risk under the Holding Foreign Companies Accountable Act. No material legal proceedings were reported as of the filing date.
Important facts for investors to verify
- Confirm post-IPO cash, subsequent cash burn and whether management’s stated 12-month funding outlook remains supportable.
- Track complete, prospectively validated clinical results—not only preliminary or retrospective ADG106 findings—and monitor ADG116 safety and regulatory status.
- Review the effect of share-based awards, outstanding options and subsequent share issuance on dilution and compensation expense.
- Assess reliance on WuXi-related suppliers, related-party terms and the availability of qualified alternative manufacturers.
- Check remediation of the two material weaknesses, effectiveness of disclosure controls, and developments in PCAOB inspection and listing requirements.
- Verify collaboration milestones and royalties when earned; the filing states that no milestone or royalty payments had been received through the reporting date.
