Adial Pharmaceuticals, Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. Filed April 1, 2024. This is an annual report; it does not provide standalone fourth-quarter results.
Business context
Adial is a clinical-stage biopharmaceutical company with no approved products or product revenue. Its lead candidate, AD04, is low-dose ondansetron being developed for alcohol use disorder (AUD) in patients selected by genetic markers and a proposed companion diagnostic. In 2023, the company sold Purnovate’s assets and refocused on AD04.

Cash used in operating activities was $6.81 million, including $5.80 million from continuing operations and $1.00 million from discontinued operations. Investing activities provided $1.50 million, primarily from the Purnovate sale; financing activities provided $4.13 million. Cash declined by $1.17 million. The balance sheet reports no debt balance; current liabilities were $653,000. Profit margins are not meaningful given the absence of product revenue and ongoing losses.
Material changes and financing
- Operating expenses fell by $3.97 million year over year. R&D expense declined 35%, mainly following completion of the ONWARD trial; G&A fell 37%, including lower share-based compensation and compensation costs.
- The Purnovate asset sale produced a $2.62 million gain and $1.88 million of net income from discontinued operations for the year. Adial received cash and a 19.9% equity interest in Adovate; the reported equity-method investment was $1.53 million at year-end after recognizing its share of Adovate’s loss.
- The October 2023 private placement generated approximately $3.4 million net. It included pre-funded and other warrants; the pre-funded warrants were fully exercised by the filing date.
- After year-end, warrant exercises generated approximately $3.8 million net proceeds, according to the filing. The March 2024 inducement transaction included issuance of 2.3 million new Series C warrants, creating potential dilution.
- Adial effected a 1-for-25 reverse stock split in August 2023. It reported 1,663,421 shares outstanding at year-end and 4,054,861 as of March 29, 2024.
Outlook, clinical program and key risks
- Funding and going concern: The auditor’s report highlights substantial doubt about Adial’s ability to continue as a going concern. Management said cash was not expected to fund operations for 12 months from the filing date. The company forecast approximately $6.5 million of cash use in the 12 months through December 2024 and needs additional financing; no financing commitment is assured.
- Development costs: Adial plans two additional Phase 3 trials, ideally in parallel. Estimated total cost is $21–29 million, including $8–12 million in direct costs per trial and up to $5 million in other development expenses. Estimates depend on final designs and regulatory discussions.
- Clinical evidence: ONWARD missed its prespecified primary endpoint overall. The company reports favorable post-hoc analyses in selected genetic subgroups, including statistical significance for an AG+ analysis; these analyses do not establish approval. FDA feedback acknowledged the subgroup analyses and safety data but requested additional support for an NDA.
- Regulatory and diagnostic risk: Approval would require further clinical evidence and regulatory clearance or approval of the genetic companion diagnostic. The filing also anticipates longer-term safety data, including exposure of at least 100 patients for one year. A regulatory authority may require additional studies or reject the proposed endpoint or evidence.
- License and commercialization: AD04 depends on an exclusive UVA license with development milestones, including an NDA submission target of December 31, 2024, and a commercialization target of December 31, 2025. Adial said it was seeking extensions. The company has no internal sales force and expects to seek a development and/or commercial partner.
- Controls and governance: Management concluded disclosure controls and internal control over financial reporting were ineffective at year-end and identified material weaknesses, including inadequate documentation, approvals, GAAP expertise, IT controls and segregation of duties. The Purnovate sale involved a related party, and certain consulting arrangements are also related-party transactions.
- Other risks: AD04 is Adial’s principal product candidate; long-term ondansetron safety is not established, and the active ingredient is available generically. Other material risks include dilution, Nasdaq listing compliance, limited trading liquidity, trial enrollment and execution, reimbursement, and dependence on intellectual-property protection.
Investor verification priorities
- Confirm current cash, cash burn and runway, including the net proceeds and use of post-year-end warrant exercises.
- Review the detailed trial protocol, endpoints, subgroup analyses and FDA’s written feedback; distinguish post-hoc findings from prospective evidence.
- Verify the final Phase 3 design, budget, timing and funding plan, including any executed partnership or financing agreements.
- Check the status of UVA license milestone extensions and the companion diagnostic’s regulatory pathway.
- Assess dilution from outstanding warrants, the Series C warrants and subsequent equity awards, and confirm current shares outstanding.
- Track remediation of the disclosed material weaknesses and evaluate the related-party nature and terms of the Purnovate/Adovate transaction and consulting arrangements.
