Adial Pharmaceuticals, Inc. — FY2021 Form 10-K
Reporting period: Fiscal year ended December 31, 2021. The filing was signed March 28, 2022. Adial is a clinical-stage biopharmaceutical company with no approved products or product revenue.
Business context and progress
- Lead candidate AD04 is low-dose ondansetron, being developed with a genetic companion diagnostic for alcohol use disorder (AUD). The ONWARD Phase 3 trial completed patient dosing and follow-up; close-out activities remained underway, with results expected in Q2 2022.
- Adial acquired Purnovate in January 2021, adding a preclinical adenosine-based drug discovery platform and programs targeting pain and other conditions.
Financial results and liquidity
| Metric | FY2021 | FY2020 |
|---|---|---|
| Revenue | $0 | $0 |
| Research and development expense | $8.40 million | $5.85 million |
| General and administrative expense | $9.34 million | $5.07 million |
| Impairment expense | $1.55 million | $0 |
| Net loss | $19.42 million | $10.89 million |
| Net loss per share, basic and diluted | $1.04 | $0.87 |
| Cash used in operating activities | $11.95 million | $7.63 million |
- R&D expense rose 43%, mainly from increased ONWARD trial activity, staffing and Purnovate research. G&A expense rose 84%, including higher staffing, equity compensation, public relations/business development and legal costs. The $1.55 million impairment was a one-time, noncash write-down of acquired chemical supplies deemed obsolete.
- At year-end, cash and equivalents were $6.06 million; current assets were $6.46 million and current liabilities $2.72 million. Working capital was approximately $3.74 million. Total liabilities were $3.97 million, including $1.01 million of acquisition-related contingent consideration and $0.26 million of lease liabilities. No material conventional borrowing balance is reported in the balance sheet.
- Financing activities provided $13.64 million in 2021, primarily from equity sales and warrant and option exercises. Cash increased by $1.66 million during the year. Accumulated deficit reached $50.94 million.
- In February 2022, the company raised approximately $9.1 million net through a securities offering that included common shares and warrants, adding liquidity but also potential dilution.
Profit margins are not meaningful given the absence of revenue and continuing development-stage losses. The filing gives differing liquidity timelines: it says cash after the February 2022 financing was expected to fund operations for at least 12 months and through trial database lock, while other projections anticipate funds being exhausted around March–May 2023. Management says further financing will be needed.
Outlook, risks and unusual items
- Management estimates approximately $11 million total cost for ONWARD, with about $8.9 million incurred or prepaid and $2.1 million of direct trial costs remaining at the time of the filing. A second Phase 3 trial is estimated at about $20 million; additional development costs could be up to $10 million, and a possible third Phase 3 trial could require another $20 million.
- AD04’s path depends on successful Phase 3 results, regulatory acceptance of endpoints and trial data, approval of the companion diagnostic, and longer-term safety evidence. The filing notes that chronic-use safety data for ondansetron are limited and anticipates a 12-month safety study in at least 100 subjects.
- Purnovate’s candidates remain preclinical. The filing anticipated a first clinical trial from the platform in late 2022, subject to development progress and funding.
- Material risks include ongoing financing needs and potential shareholder dilution; clinical, regulatory and diagnostic-test failure; reliance on the University of Virginia license; generic availability of ondansetron; trial disruption from COVID-19 or geopolitical events in Eastern Europe; and foreign-exchange exposure to trial costs denominated in euros.
- Management reported ineffective disclosure controls and internal control over financial reporting, identifying material weaknesses including inadequate documentation and approvals, limited complex-GAAP expertise, IT control deficiencies and insufficient segregation of duties. The independent auditor issued an unqualified opinion on the financial statements but did not audit internal-control effectiveness.
- A dispute with CRO Crown concerned a proposed change order. Adial accrued $441,008 for a likely settlement and expected a further $181,013 expense in 2022; the CRO’s stated potential total liability was about $777,000. Management considered litigation unlikely.
- The Purnovate acquisition was a related-party transaction: the CEO held an interest in Purnovate. Consideration included $350,000 cash, approximately $1.06 million in stock, contingent milestones and 3% royalties on net sales.
Investor verification priorities
- Verify ONWARD results, the agreed FDA and EMA endpoints, and any additional trial or long-term safety requirements.
- Reconcile the filing’s differing cash-runway estimates and confirm cash needs, financing plans and the cost and timing of further AD04 trials.
- Track companion-diagnostic regulatory progress, clinical validation and reimbursement prospects.
- Assess the Crown CRO dispute and other accrued trial costs, as well as Purnovate milestone obligations and development progress.
- Monitor remediation of the disclosed control weaknesses, subsequent financing and warrant dilution, and the related-party arrangements described in the filing.
