Adaptive Biotechnologies Corp annual report, FY2023

Adaptive Biotechnologies Corporation — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023; filed February 29, 2024. This is an annual report, not a standalone fourth-quarter report. The company develops immune-sequencing products and services across minimal residual disease (MRD) testing and immune medicine (IM), including clonoSEQ and therapeutic discovery collaborations.

  • Revenue mix shifted toward MRD: MRD revenue rose 18% to $102.7 million; IM revenue fell 31% to $67.5 million. Clinical clonoSEQ revenue increased 53%; test volume rose 53% to 56,496 tests. MRD Pharma revenue excluding milestones increased 1%.
  • Lower revenue reflected reduced Genentech collaboration revenue, slower biopharma services, and no MRD milestone revenue in 2023. The company recognized a $10 million Genentech regulatory milestone, of which $7.7 million was recognized as revenue in the second quarter.
  • Gross margin declined as cost of revenue increased, including from greater production-lab usage, higher overhead associated with laboratory relocation and consolidation, and increased sample-related materials and shipping costs.
  • Operating expenses included a $25.4 million non-cash impairment charge after vacating leased Seattle space. R&D, sales and marketing, and G&A expenses decreased year over year, partly offsetting the impairment and higher cost of revenue.
  • Cash, cash equivalents and marketable securities totaled $346.4 million at year-end, down from $498.2 million. Current assets were $410.2 million and current liabilities $88.0 million. Management said existing liquidity should fund operations and capital requirements for at least 12 months.
  • The company reported a $130.7 million net revenue-interest liability under the OrbiMed agreement and $13.8 million of related interest expense. It also reported $121.3 million of undiscounted operating lease commitments.

Material developments, outlook and risks

  • MRD growth: clonoSEQ coverage reached 300 million covered lives for ALL and MM, 200 million for CLL, and 70 million for DLBCL. The assay was used in 143 active trials involving 43 biopharmaceutical partners. Management targets positive adjusted EBITDA for the MRD business by the end of 2025 and cash-flow breakeven by the end of 2026; these are management expectations, not guarantees.
  • IM progress: Genentech obtained FDA IND clearance in 2023 for a shared-antigen TCR cell-therapy candidate. The personalized approach had screened blood samples from 165 cancer patients and completed a proof of concept; therapeutic development remains early-stage and dependent on Genentech.
  • Genentech concentration and accounting: the collaboration represented 25% of 2023 revenue. Revenue depends in part on estimates of collaboration progress and total development costs, including decisions controlled by Genentech. The auditor identified this estimate as a critical audit matter. Genentech may terminate for convenience, and future milestones, royalties and product commercialization are uncertain.
  • OrbiMed financing: the agreement provides OrbiMed revenue interests equal to 5% of quarterly GAAP revenue based on the initial payment, with higher percentages if additional installments are drawn. The agreement grants a security interest in core platform assets and includes potential repurchase rights in specified events. Additional installments of up to $125 million may be requested by September 2025, subject to conditions.
  • Key risks: continuing losses and cash use; uncertain clinical and commercial adoption and reimbursement; regulatory uncertainty for laboratory-developed tests and future products; dependence on collaborators; competition; and reliance on limited or single suppliers, including Illumina for sequencing equipment and reagents. The company reported no material legal proceedings and stated cybersecurity threats had not materially affected it.
  • Audit and controls: the independent auditor issued an unqualified opinion on the financial statements and internal control over financial reporting; management also concluded controls were effective at year-end.

Investor verification priorities

  • Track clonoSEQ test volume, realized reimbursement and margins, and whether the MRD profitability and cash-flow targets remain achievable.
  • Review cash burn and liquidity against the reported runway, and assess whether additional OrbiMed funding or external capital may be needed.
  • Monitor Genentech program progress, collaboration revenue recognition estimates, milestone achievement, and the risk of termination or delayed commercialization.
  • Assess the full economics and covenants of the OrbiMed revenue-interest arrangement, including future revenue payment percentages, return cap and security interest.
  • Verify the extent to which the 2023 gross-margin decline, Seattle lease impairment and operating-cost reductions affect recurring results.
