Changes, outlook, and management commentary

  • Revenue growth was led by subscriptions and AEC: AEC revenue rose 13% to $2.580 billion; Manufacturing rose 9% to $1.063 billion; AutoCAD and AutoCAD LT rose 5% to $1.462 billion. Media and Entertainment was nearly flat, up 1% to $295 million.
  • Operating cash flow fell by $758 million year over year. Management attributed the working-capital change mainly to a $316 million decline in deferred revenue as customers shifted from upfront multi-year billing to annual installments. Management said this transition would continue to affect billing and collections in FY2025.
  • Management described FY2024 free cash flow as the trough of the billing transition and said free cash flow should rebuild mechanically over the next few years. No detailed FY2025 revenue, earnings, or cash-flow guidance is provided in the supplied filing text. For FY2025, management expected cost of revenue, marketing and sales, and R&D dollars to increase, while G&A and purchased-intangible amortization dollars were expected to decrease; each was expected to be flat as a percentage of revenue.
  • The shift to a new transaction model is intended to increase direct customer transactions. Reclassifying certain channel incentives from contra-revenue to operating expenses is expected to raise calculated revenue growth, be broadly neutral to operating profit and free-cash-flow dollars, and reduce calculated operating margin.

Investigation, contingencies, and principal risks

  • Free-cash-flow and non-GAAP margin investigation: The Audit Committee investigated practices during FY2022–FY2024 and completed its planned procedures. It found that Autodesk had used customer incentives to encourage upfront multi-year billing, early renewals, and early payments; FY2023 enterprise upfront billings substantially exceeded historical levels and helped meet a lowered annual free-cash-flow target. Certain spending, collections, and accounts-payable decisions also considered external free-cash-flow or non-GAAP margin targets. Autodesk stated that these actions were not calculated to influence compensation outcomes.
  • Management determined there would be no restatement or adjustment of previously filed or announced GAAP or non-GAAP financial statements, the February 29, 2024 earnings release, or prior guidance. The Committee proposed remedial measures for financial communications, organizational responsibilities, and related policies, processes, and controls. FY2024 enterprise upfront billings were substantially lower than in FY2022 and FY2023.
  • The company voluntarily contacted the SEC and is cooperating with an SEC investigation; the U.S. Attorney’s Office for the Northern District of California also contacted the company. A securities class action and a stockholder derivative action followed. Autodesk said potential losses could not be reasonably estimated; the investigation and litigation may generate additional costs and penalties.
  • The filing reports effective disclosure controls and internal control over financial reporting as of January 31, 2024, with an unqualified auditor opinion. These assessments should be considered alongside the later-disclosed investigation and its proposed remedial measures.
  • Other notable exposures include foreign exchange and macroeconomic volatility, subscription renewal and competitive risks, AI governance, cybersecurity and privacy, channel concentration, and debt obligations. TD Synnex accounted for 39% of FY2024 revenue. International revenue represented 64% of FY2024 revenue.
  • Subsequent to year-end, Autodesk acquired Payapps for $387 million, PIX for $266 million, and Aether Media for approximately $131 million net of cash acquired. These acquisitions used cash and expand construction-payment, media-production, and AI capabilities.

Key facts for investors to verify

  • Review the Committee’s investigation findings, remedial actions, and any subsequent SEC or other government developments; confirm that the stated no-restatement conclusion remains unchanged.
  • Track operating cash flow, free cash flow, deferred revenue, and billing mix as annual billing replaces upfront multi-year contracts, including whether the expected cash-flow recovery occurs.
  • Assess FY2025 performance against the stated expense outlook and monitor the new transaction model’s effects on reported revenue growth and operating margin.
  • Monitor the securities and derivative litigation, potential investigation costs or penalties, and the cash and debt impact of acquisitions and share repurchases.
