Comprehensive income available to common was $1.064 billion, versus $399 million. Cash from operations was $1.086 billion; investing activities used $25.032 billion and financing activities provided $24.678 billion. Cash and cash equivalents ended the period at $2.099 billion.

Material changes versus comparable periods

  • Q2 interest income and net interest income rose year over year as the average portfolio expanded substantially. However, asset yield fell to 2.73% from 3.35%, while average cost of funds rose to 1.08% from 0.89%; the spread narrowed to 1.65% from 2.46%.
  • Q2 reported a common-shareholder loss, principally reflecting a $1.029 billion net loss on derivatives and other securities, including significant unrealized marks. This more than offset $417 million of net gains on MBS sales and $384 million of net interest income. Other comprehensive income of $741 million, largely unrealized MBS gains, lifted comprehensive income despite the net loss.
  • The MBS portfolio grew by about $23.2 billion from year-end. Weighted-average portfolio coupon declined to 3.86% from 4.23%, and projected life CPR increased to 12% from 14%. Management said it emphasized lower-coupon, lower-loan-balance and HARP securities to mitigate prepayment exposure.
  • Leverage was approximately 7.6–7.7 times equity at quarter-end, depending on the measure; at-risk leverage including TBA positions was 7.4 times. The common share count increased materially following equity issuance.

Outlook, risks and unusual items

  • No numerical earnings or dividend guidance was provided. Management said it believed liquidity and capital resources were sufficient for investment purchases, debt repayments, margin needs and dividends, while noting that repo financing may not be renewable on favorable terms or at all.
  • Management generally expects leverage within six to eleven times equity, but says it may operate outside that range for extended periods under some market conditions. Its stated goal is to distribute all taxable income; REIT status requires distribution of at least 90% of taxable income.
  • Key risks include rising or falling rates, MBS spread widening, mortgage prepayments and extensions, repo refinancing and margin calls, collateral haircuts, counterparty performance, liquidity, and the effectiveness of hedges. At June 30, $1.2 billion of swap and total-return-swap liabilities was subject to collateral arrangements; $1.1 billion of agency securities and $293 million of restricted cash were pledged.
  • Management’s modeled rate sensitivity estimated net asset value changes of -3.47% for a 100-basis-point increase, +0.18% for a 50-basis-point increase, -4.05% for a 50-basis-point decrease, and -10.58% for a 100-basis-point decrease. These are estimates based on assumptions, not forecasts; management cautioned actual outcomes may differ materially.
  • In March, AGNC raised approximately $2.1 billion net from common stock issuance; in April, it raised approximately $167 million net through 8% Series A preferred stock. Subsequent to quarter-end, it raised approximately $1.2 billion net from a July common stock offering.
  • The filing reports no legal proceedings and no material changes to previously disclosed risk factors. Management concluded disclosure controls were effective. A filing inconsistency requires attention: the balance sheet reports total assets of $84.782 billion, while one MD&A table states $86.326 billion.

Important facts for investors to verify

  • Reconcile the $84.782 billion balance-sheet total assets with the $86.326 billion amount in MD&A, and confirm the intended period-end leverage calculation.
  • Assess how much of the Q2 derivative loss was realized versus unrealized, and how hedge marks and swap costs affect future reported earnings and economic funding costs.
  • Track asset yield, repo funding costs, spread, prepayment assumptions and premium amortization as the portfolio and share base expand.
  • Review repo maturity, counterparty concentration, collateral haircuts, available liquidity and potential margin-call needs under stressed markets.
  • Evaluate the impact of the July equity offering on per-share NAV, leverage, investment returns and future dividends; the filing does not provide post-offering results.
