Arteris, Inc. — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023; comparisons are with FY2022. This is an annual report, not a standalone Q4 report. Arteris provides semiconductor system IP, including network-on-chip interconnect IP and SoC integration automation software, under license and royalty arrangements.

  • Revenue mix: Licensing, support and maintenance revenue was $48.3 million, up 5%. Variable royalties were $5.2 million, up 64%; other revenue was $0.2 million, down 81%. Management attributed royalty growth to higher production at existing customers and royalty audit findings.
  • Expenses and margins: R&D was $45.1 million (84% of revenue), sales and marketing $20.7 million, and general and administrative $17.9 million. R&D and selling costs rose with employee-related expenses and stock compensation; G&A increased mainly due to IP-litigation legal fees. Stock-based compensation totaled $14.5 million, versus $11.7 million.
  • Other items: Other income was $3.6 million, primarily reflecting interest income and deferred income from the Transchip license. Arteris recorded a $3.4 million equity-method investment loss, principally its share of Transchip’s losses, and a $1.7 million income tax provision.
  • Liquidity: At year-end, cash and cash equivalents were $13.7 million, short-term investments $27.5 million and long-term investments $11.8 million. Cash plus short-term investments totaled $41.2 million; total cash and investments were approximately $53.0 million. Current assets were $58.4 million versus current liabilities of $46.4 million.
  • Debt and obligations: Vendor financing arrangements totaled $3.4 million ($2.1 million current). Operating lease liabilities totaled $4.4 million. Deferred revenue was $56.7 million, reflecting contracted amounts not yet recognized as revenue; it is not borrowings.
  • Cash flows: Investing activities used $4.7 million, including capital expenditures and net purchases of investments. Financing activities used $2.9 million, primarily contingent-consideration and vendor-financing payments.

Changes, outlook and risks

  • Revenue grew 7%, but operating expenses grew faster, widening operating and net losses. Operating cash outflow also increased substantially.
  • Key operating indicators improved: annual contract value (ACV) rose to $50.9 million from $49.2 million; ACV plus trailing-twelve-month variable royalties and other revenue was $56.1 million, versus $52.4 million. Confirmed Design Starts increased to 95 from 82, while net new Active Customers declined to 23 from 38.
  • Remaining Performance Obligations (RPO) were $72.7 million, compared with $57.7 million. Separately, the revenue note reports $71.6 million of contracted unsatisfied or partially satisfied performance obligations, including $33.0 million expected to be recognized in the next 12 months; the measures have different stated definitions and should not be treated as interchangeable.
  • Management expects further near-term net losses and continued investment. It anticipates R&D expense to rise in the near term, both in dollars and as a percentage of revenue, and expects it to decline as a share of revenue over the medium to longer term. The filing provides no specific revenue or earnings guidance.
  • Management believes existing cash, cash equivalents, short-term investments and product receipts will fund expected needs for at least 12 months, while noting that additional financing may be needed if resources prove insufficient.
  • Material risks: Revenue depends on customer design wins converting to production and royalties, often after long design cycles. One customer represented 13% of FY2023 revenue; China accounted for 31.1%, and management expects China revenue to decrease because of U.S. trade restrictions. Export controls, semiconductor cyclicality, customer concentration, competition, and the company’s history of losses are significant risks.
  • Litigation and regulatory matters: Arteris is defending patent-infringement litigation filed by Network System Technologies, LLC; the cases were at early stages and potential loss was not clearly estimable. Legal expense increased. A 2021 voluntary export-control disclosure was closed by BIS in April 2022 with a warning letter; the company says it does not provide products or ongoing support to the two customers involved.
  • Other notable disclosures: The Transchip investment generated a $3.4 million equity-method loss in FY2023; management expects such losses to continue in the near future. Management reported disclosure controls and internal control over financial reporting were effective, but the auditor did not attest to internal control effectiveness. The company does not expect to pay cash dividends in the foreseeable future.

Investor verification priorities

  • Track whether design starts and ACV convert into recognized revenue, production royalties and improved operating cash flow.
  • Review customer and geographic concentration, especially the 13% revenue customer and China exposure, alongside the effects of current and future export restrictions.
  • Monitor the patent litigation, associated legal costs, possible customer impacts and any change in management’s assessment of loss exposure.
  • Reconcile liquidity against continuing losses and cash use; distinguish cash plus short-term investments from total cash and investments, and assess vendor financing and lease commitments.
  • Assess the sustainability of high R&D and stock-based compensation costs, dilution, and the expected duration of Transchip-related losses.
