Financial position, liquidity, and capital structure
- At March 31, 2024, Aligos reported $112.7 million of unrestricted cash, cash equivalents, and investments, including $88.6 million of short-term U.S. Treasury securities. Management said these resources were expected to fund operations for at least 12 months following issuance of the financial statements.
- Current assets were $118.1 million and current liabilities were $18.9 million. Total liabilities were $68.1 million, including a $42.0 million warrant liability; stockholders’ equity was $59.8 million.
- The filing reports lease obligations, including operating lease liabilities of $10.3 million and finance lease liabilities of approximately $0.2 million. It reports no material non-cancellable purchase commitments and no off-balance-sheet arrangements. The filing does not identify conventional borrowings as a material liability.
- Accumulated deficit was $521.7 million. Aligos expects continued substantial losses and states that additional financing may be needed; no committed external funding source is identified.
- The October 2023 private placement produced $86.2 million in net proceeds. At March 31, 80.5 million pre-funded warrant shares and 56.2 million common warrant shares remained outstanding. The common warrants have a $0.7568 exercise price and expire in October 2030. These securities create substantial potential dilution.
Business developments, outlook, and risks
- ALG-055009 (MASH): Phase 2a HERALD study dosing began in April 2024, after quarter-end. The randomized, placebo-controlled 12-week study is expected to enroll approximately 100 participants and test four dose levels. Management expected topline safety and MRI-PDFF data in Q4 2024.
- ALG-000184 (CHB): Longer-duration Phase 1b cohorts were ongoing. Management reported interim results suggesting substantial viral reductions and tolerability through up to 64 weeks; additional interim data were expected at scientific conferences during 2024. These are early-stage findings, not proof of clinical benefit or approval prospects.
- ALG-097558 (coronavirus): Management described Phase 1 tolerability and pharmacokinetic findings and projected a potential dose range. Further development, including Phase 2-enabling work, is intended to rely on external funding. The company expected approximately $12.3 million across NIH/NIAID awards and contracts to support specified activities, and planned clinical-pharmacology studies from the second half of 2024 through 2025.
- Other programs: Further clinical advancement of ALG-125755 is not prioritized with current funding; the company plans to seek external funding. A Merck-partnered MASH oligonucleotide program remained in preclinical work.
- Funding and execution risks: The company expects continuing losses and significant development spending. If additional capital is unavailable on acceptable terms, it may delay, reduce, or terminate programs. Clinical success, regulatory approval, commercialization, and future revenue are uncertain; Aligos relies heavily on third parties for clinical work and manufacturing.
- Nasdaq listing: Aligos disclosed a minimum-bid-price deficiency notice received in 2023 and said it moved to the Nasdaq Capital Market in March 2024. Its compliance period ended September 3, 2024; the filing warned that failure to regain compliance could lead to delisting and impair access to capital.
- Other notable risks: Competition in MASH and CHB, potential adverse events, collaboration and licensing dependence, intellectual-property challenges, financing-market conditions, and possible effects of proposed U.S. restrictions involving certain Chinese biotechnology companies. The company reported no legal proceedings it considered material and no material change in contractual obligations.
- Management stated disclosure controls and procedures were effective as of March 31, 2024, with no material change in internal control over financial reporting during the quarter.
