ALX ONCOLOGY HOLDINGS INC annual report, FY2023

ALX Oncology Holdings Inc. — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023; filed March 7, 2024. This is an annual report, not a standalone fourth-quarter report. ALX is a clinical-stage immuno-oncology company with no approved products and no product revenue. Its lead candidate, evorpacept, is being studied in multiple Phase 1 and Phase 2 trials.

Financial results and liquidity

MetricFY2023FY2022
Product revenueNoneNone
Research and development expense$141.8 million$98.4 million
General and administrative expense$28.5 million$29.0 million
Total operating expenses$170.3 million$127.4 million
Net loss$160.8 million$123.5 million
Net loss per share, basic and diluted$3.74$3.03
Interest income$10.6 million$4.3 million
Interest expense$1.6 million$0.2 million

R&D expense rose 44%, primarily because of higher clinical and development costs, including support for more active trials and expected enrollment. Management reported no operating margins; given the absence of product revenue and ongoing losses, conventional revenue margins are not meaningful.

  • Cash, cash equivalents and investments: $218.1 million at year-end, compared with $282.9 million at December 31, 2022. This includes $22.4 million of cash and cash equivalents, $160.3 million of short-term investments and $35.4 million of long-term investments.
  • Cash flows: $130.4 million used in operating activities, $44.7 million provided by investing activities and $59.3 million provided by financing activities. Operating cash use increased from $89.2 million in 2022.
  • Debt: $10.0 million borrowed under the term loan; balance-sheet carrying value was $9.6 million, net of unamortized costs. The loan bears floating interest at the greater of one-month SOFR or 2.33%, plus 6.25% (minimum rate 8.58%).
  • Liquidity outlook: Management expects existing cash, cash equivalents and investments, together with access to an additional $40 million under the term loan, to fund operations into early 2026. This estimate depends on assumptions that may prove inaccurate.
  • Financing and dilution: The October 2023 offering generated approximately $58.9 million in net proceeds and included 8.66 million common shares and pre-funded warrants for 1.25 million shares. Year-end common shares outstanding were 49.95 million; the warrants had not been exercised.

Material changes and business developments

  • Net loss increased by $37.3 million year over year, while R&D spending increased by $43.4 million. Higher interest income partly offset increased operating costs; interest expense also rose with a full year of term-loan costs.
  • ASPEN-06 reported prespecified interim Phase 2 results in October 2023 from 54 randomized patients with second- or third-line HER2-positive gastric/GEJ cancer: confirmed ORR was 52% with evorpacept plus trastuzumab, ramucirumab and paclitaxel versus 22% with the control regimen. Median duration of response was not reached in the evorpacept arm versus 7.4 months in control. These are interim results, not final or registrational results.
  • ALX said ASPEN-06 was well tolerated in that interim analysis. Across its clinical program, the company reported more than 500 subjects treated with evorpacept and said no maximum tolerated dose had been reached; it also reported low occurrences of cytopenias. These are company-reported clinical observations, not proof of safety or efficacy.
  • ALX concluded that the evorpacept-plus-azacitidine hypothesis was not supported by ASPEN-02; despite tolerability, activity was insufficient to advance to Phase 2. The company discontinued development based on that mechanism and redirected resources toward antibody and PD-1/PD-L1 combinations.

Outlook, risks and unusual items

  • Company-stated milestones: Top-line ASPEN-06 results were expected in June or July 2024, with strategic options for a potential Phase 3 to be evaluated based on final Phase 2 results. ASPEN-03 and ASPEN-04 HNSCC top-line results were expected in Q4 2024 or Q1 2025. These are forward-looking expectations in the filing, not guarantees.
  • ALTA-002, a preclinical collaboration program with Tallac, had an IND planned for Q1 2024. The company relies on third parties for preclinical work, clinical trials and manufacturing; evorpacept supply was described as sufficient through Q2 2025.
  • ALX expects significant losses and cash needs to continue. Key risks include clinical failure or delay, regulatory uncertainty, competition and changing standards of care, reliance on contract manufacturers and collaborators, further financing needs and potential dilution.
  • The loan is secured by substantially all company assets, subject to an intellectual-property negative pledge; the loan agreement restricts certain activities and includes default provisions. The first-tranche draw period was extended to June 30, 2024, with funding conditions linked to ASPEN-06. A $0.6 million contingency fee may apply to certain prepayments.
  • Intellectual-property risk includes European proceedings involving third-party SIRPα patents. The company disclosed that patents EP 2 429 574 and EP 2 995 315, if upheld without relevant limitation, could potentially constrain evorpacept development in certain indications and geographies. Appeals or oppositions were pending as described in the filing.
  • There were no material legal proceedings reported. The independent auditor issued an unqualified opinion on the financial statements; it identified contract-manufacturing accrual estimation as a critical audit matter. The auditor did not audit internal control effectiveness. Management concluded disclosure controls and internal control over financial reporting were effective at year-end; prior material weaknesses were reported as remediated.

Important facts for investors to verify

  • Final ASPEN-06 efficacy and safety results, including how the interim response-rate difference holds up with additional follow-up and analysis.
  • Actual timing, enrollment and results for ASPEN-03 and ASPEN-04, and whether results support advancement toward registration.
  • Cash burn, remaining term-loan availability and whether the stated early-2026 runway remains achievable; assess financing needs and dilution risk.
  • Status and potential impact of the European patent opposition and appeal proceedings, as well as the company’s freedom to operate in relevant markets.
  • Trial supply, manufacturing capacity and collaborator commitments, including whether evorpacept supply and combination drugs remain available on schedule.
