Revenue grew 52.6%, but the acquired SSM business contributed $1.89 million for only the period after closing. AmpliTech’s existing amplifier and microwave component sales were described as relatively flat year over year. Gross margin fell as overhead, labor, and component costs increased. SG&A rose 116.5% to $4.56 million, and R&D increased to $1.83 million from $62,000.

Investing activities used $10.61 million, primarily reflecting $9.20 million cash paid for the SSM acquisition, plus equipment purchases and an investment. Financing activities provided $30.63 million, chiefly from the February public offering, April private placement, and warrant exercises. The company reported total liabilities of $6.19 million, including $330,000 of notes payable, no balance on its $750,000 line of credit, $1.19 million of operating lease liabilities, and a $1.37 million SSM revenue earnout liability.

Material changes and unusual items

  • SSM’s acquisition was completed December 15, 2021. The filing presents total purchase consideration of $11.49 million, including cash, stock, working-capital adjustment, escrow, and estimated revenue earnout; amounts and terms are subject to purchase-agreement adjustments. SSM contributed $435,974 of net income after acquisition. Unaudited pro forma 2021 results, as if acquired at the start of the year, show revenue of $18.59 million and net loss of $1.76 million.
  • The company raised approximately $23 million gross in an April 2021 registered direct offering and received net proceeds from a February public offering. Shares outstanding increased to 9.58 million at year-end from 4.84 million; warrants and options create additional potential dilution.
  • The $232,200 PPP loan was forgiven in 2021. Other income included a $201,215 Employee Retention Credit; the results also reflect investment losses.
  • Inventory obsolescence reserves rose to $1.03 million from $70,000. Inventory was $4.19 million net at year-end, including a substantial acquired inventory balance.

Outlook, risks, and controls

Management stated that cash on hand and cash from operations were expected to fund operations for the next 12 months; it did not provide numerical revenue or earnings guidance. Management expected new 5G/6G products to reach market and the Texas MMIC design center to begin contributing revenue in 2022. A new Hauppauge facility was expected to be operational in April 2022, with capacity more than three times the prior facilities, according to management.

Key risks include COVID-related supply constraints, component and freight inflation, and delays that may affect production, revenue timing, and margins; customer-order volatility and customer concentration; competition; acquisition integration and realization of expected benefits; and dependence on key personnel. The two largest customers represented approximately 26.0% and 10.6% of 2021 sales. Management disclosed two material weaknesses in internal control over financial reporting: insufficient segregation of duties due to limited staffing and ineffective controls over financial-statement disclosures. Disclosure controls were deemed ineffective at year-end; management described remediation efforts, including additional hiring and training. The independent auditor issued an unqualified opinion on the financial statements but was not engaged to audit internal control effectiveness. The filing reports no pending legal proceedings and no off-balance-sheet arrangements.

Important facts for investors to verify

  • SSM’s final purchase price, working-capital adjustment, escrow release, revenue earnout calculation, and post-acquisition performance.
  • Whether the large inventory reserve is adequate and whether supply-chain delays or inflation continue to pressure margins and sales.
  • Progress in remediating the disclosed internal-control weaknesses and the reliability of future reporting.
  • Cash generation relative to operating losses, acquisition integration costs, and planned facility and product-development spending.
  • Potential dilution from outstanding warrants, options, and other equity awards, and the effect of customer concentration on future results.
