Material changes versus the prior comparable period

  • Revenue growth reflected a 39.7% increase in unit shipments, partly offset by an 8.4% decline in average selling price. Power IC revenue rose 77.7%; power discrete revenue rose 9.5%.
  • Gross margin increased 6.4 percentage points. Management attributed the improvement in part to better capacity utilization as the Chongqing joint venture continued its ramp.
  • Research and development expense rose 21.2% to $17.8 million; selling, general and administrative expense increased 24.6% to $21.8 million, primarily reflecting higher compensation and benefits.
  • Interest expense and other loss, net, increased to $2.2 million from $0.5 million, including lower foreign-exchange gains and higher interest expense.
  • Operating cash flow increased to $80.6 million, but included a $52.9 million increase in accrued and other liabilities. Customer deposits were $89.7 million across current and long-term liabilities, up from $49.1 million at June 30, 2021.

Outlook, commentary, risks and unusual items

  • No numerical revenue or earnings guidance is provided. Management said current cash and operating cash flows should meet anticipated needs for at least the next 12 months.
  • The Chongqing joint venture reached targeted assembly and test production and ramped Phase I of its 12-inch wafer fabrication facility to its target run rate during the quarter. AOS owns 51%; the joint venture’s debt is incurred separately, and AOS says it does not guarantee that debt or have direct access to its borrowed proceeds.
  • AOS plans to expand and upgrade its Oregon fabrication facility. It entered into a secured term-loan agreement of up to $45 million for this purpose; no amount was drawn at September 30. Capital commitments for property and equipment were $128.2 million.
  • Management highlighted uncertainty from COVID-19, semiconductor supply-chain constraints, customer demand shifts, average selling price erosion, and possible Chinese power restrictions affecting manufacturing. PC-related demand had benefited the company, but management cautioned that trend may not continue.
  • The DOJ investigation into export-control compliance relating to Huawei remains pending; AOS has not shipped products to Huawei since December 31, 2019 and cannot estimate potential loss or resolution. The related shareholder class action was dismissed in September 2021; no second amended complaint was filed by the court’s deadline, and AOS anticipated dismissal with prejudice.
  • Revenue was concentrated: two customers represented 27.4% and 36.6% of quarterly revenue. AOS also reported an immaterial correction to prior-year geographic revenue allocation.
  • Operating cash flow and liquidity are affected by the timing of customer deposits and accrued liabilities. Of quarter-end cash, $225.8 million was held outside the United States.

Most important facts for investors to verify

  • Whether revenue growth, shipment levels and gross-margin improvement persist as market demand and product mix change.
  • The sustainability and timing of cash generation, especially the contribution of customer deposits and accrued liabilities.
  • Progress, funding needs and operating performance of the Chongqing joint venture and Oregon fab expansion, including capital commitments and debt obligations.
  • Developments in the DOJ/DOC Huawei matter, including any resolution, restrictions, penalties or related costs.
  • Demand exposure to the two largest customers, PC-related markets, and potential supply-chain or power-supply disruptions.
