- Asset-Based operating income rose to $53.5 million from $47.5 million; its operating ratio improved to 92.0% from 93.2%. Asset-Light recorded an operating loss of $15.3 million versus $14.1 million; its operating ratio worsened to 103.8% from 103.2%.
- Asset-Based tonnage per day decreased 16.8%, while billed revenue per hundredweight, including fuel surcharges, increased 15.6%. Asset-Light shipments per day increased 13.6%, but revenue per shipment declined 19.7%.
- Continuing-operations Adjusted EBITDA, a non-GAAP measure, was $73.3 million versus $78.1 million.
Liquidity, debt and capital
- At March 31, 2024, cash and cash equivalents were $172.9 million and short-term investments were $68.1 million, totaling $240.9 million, down $89.1 million from year-end 2023.
- Total debt was $212.2 million, including $50.0 million drawn on the revolving credit facility; current and long-term debt were $63.2 million and $149.0 million, respectively. The company reported $200.0 million of availability under the facility and compliance with its covenants.
- The accounts receivable securitization program had $33.2 million of available capacity after letters of credit and matures July 1, 2024.
- Q1 operating cash flow was $6.5 million; investing cash outflow was $57.0 million and financing cash outflow was $38.8 million. The company repaid $16.8 million of debt, repurchased $15.7 million of stock, and paid $2.8 million in dividends.
- Management estimates 2024 net capital expenditures of $325 million to $375 million, including approximately $155 million for revenue equipment and $130 million for real estate and facility upgrades. Management believes available cash, operating cash flow and revolving-credit capacity will be sufficient for the next 12 months and foreseeable future.
Material changes and unusual items
- Continuing-operations results included a $28.7 million noncash impairment of the Phantom Auto investment, which ceased operations. The charge reduced after-tax earnings by $21.6 million, or $0.90 per diluted share, and was recorded below operating income.
- Operating income included a $7.3 million increase in the MoLo contingent-consideration liability, compared with a $15.0 million increase in Q1 2023. The liability was $100.2 million at quarter-end; potential cumulative earnout consideration varies with performance targets.
- The prior-year comparison includes FleetNet discontinued-operations income of $52.4 million, including the after-tax sale gain. Q1 2024 discontinued-operations income of $0.6 million largely reflects a post-sale liability reversal. This makes the reported total net-income comparison less representative of continuing performance.
- Asset-Based operating improvement reflected lower purchased transportation and fuel costs, cost controls, and the absence of $6.1 million of prior-year freight-handling pilot costs. These benefits were partly offset by higher union wages and benefits.
Outlook, commentary and risks
- Management described freight demand and pricing as pressured by a soft market, excess truckload capacity, weaker manufacturing activity and economic uncertainty. It said Asset-Light pricing had stabilized at the bottom of the truckload market cycle and should improve as 2024 progresses; this is commentary, not quantified earnings guidance.
- Management noted that the post-bankruptcy demand boost for Asset-Based published LTL services had moderated, while retained rate increases and contract renewals supported pricing. Results remain exposed to shipment volumes, market rates, fuel surcharges, labor costs and purchased-transportation availability.
- Risks include adverse economic conditions, inflation and interest rates, weather and geopolitical supply-chain disruptions, cybersecurity incidents, climate-related regulation and operational impacts, and potential goodwill or intangible-asset impairment.
- A lawsuit involving a pre-acquisition MoLo contract-carrier accident is considered reasonably possible to result in a loss, but the company cannot estimate a loss range; it says the amount could be material. A separate approximately $9.5 million Fair Labor Standards Act settlement remains subject to court approval and is reserved.
- Management reported effective disclosure controls as of March 31, 2024 and no material changes in internal control over financial reporting during the quarter.
Important facts for investors to verify
- Whether Asset-Light pricing and margins improve as management expects, given the 19.7% decline in revenue per shipment and operating loss.
- How much and when MoLo earnout payments may become payable; the recorded $100.2 million liability is a fair-value estimate and depends on future performance.
- The resolution and potential financial exposure of the MoLo-related accident litigation and the pending employee-classification settlement.
- Renewal or replacement of the accounts receivable securitization program before its July 1, 2024 maturity.
- Execution of the $325 million–$375 million capital plan while operating cash flow remains modest and the company continues share repurchases and dividends.
