Amtech Systems, Inc. — FY2022 Form 10-K

Reporting period: Fiscal year ended September 30, 2022. The filing also reports fourth-quarter results for the three months ended September 30, 2022. Amtech manufactures semiconductor thermal-processing and wafer-polishing equipment, consumables, chemicals and related products. Its segments are Semiconductor and Material and Substrate.

Financial performance

MetricFY2022FY2021
Revenue$106.3 million$85.2 million
Gross profit / margin$39.5 million / 37%$34.5 million / 41%
Operating income$17.3 million$3.7 million
Net income$17.4 million$1.5 million
Diluted EPS$1.22$0.11
Operating cash flow$5.2 million$(6.0) million
  • Revenue rose 25%. Semiconductor revenue increased 22% to $88.0 million; Material and Substrate revenue increased 40% to $18.3 million.
  • FY2022 operating income included a $12.5 million pretax gain on the Massachusetts property sale. The gain materially elevated reported operating and net income; the filing does not provide a non-GAAP adjusted profit measure.
  • Gross margin fell four percentage points. Semiconductor margin declined to 35% from 42%, reflecting the Shanghai shutdown, lower utilization during the closure and higher material costs. Material and Substrate margin improved to 47% from 32%, mainly on higher consumables sales and utilization.
  • SG&A was $28.3 million, up 14%, and research, development and engineering expense was $6.4 million, up from $6.0 million.
  • Cash and cash equivalents were $46.9 million at year-end, versus $32.8 million a year earlier. Working capital was $80.3 million; the current ratio was 4.5:1, compared with 5.4:1.
  • Investing cash flow was $18.8 million, primarily reflecting $19.9 million of property-sale proceeds. Financing cash flow was $(8.3) million, including $4.9 million of debt payments and $4.1 million of share repurchases.
  • The Massachusetts mortgage was repaid at the June 2022 sale; remaining long-term debt was approximately $0.2 million. Operating lease liabilities totaled $11.5 million.

Fourth-quarter results and business trends

FY2022 fourth-quarter revenue was $32.3 million, gross profit $12.6 million, operating income $3.9 million and net income $4.2 million; diluted EPS was $0.30. The filing attributes the quarter’s results partly to recovery of shipments missed during the Shanghai shutdown. It also says overall market order trends had slowed since the April 2022 shutdown.

  • FY2022 orders were $114.0 million, down 1% from FY2021. Semiconductor orders declined 8%; Material and Substrate orders increased 46%.
  • Year-end backlog was $50.8 million, up 15%. Three customers represented 21%, 17% and 14% of backlog. Orders may be canceled or delayed and backlog is not assurance of future sales or profit.
  • Two Semiconductor customers accounted for 14% and 12% of annual revenue. One customer represented 12% of year-end receivables.

Outlook, risks and unusual items

  • Management plans further investment in R&D, manufacturing capacity and information systems in FY2023, with expected increases in capital expenditures and R&D. It is developing new products, including a next-generation reflow platform targeted for launch in mid-2023, with full production expected in early 2024, and an upgraded furnace host-management system.
  • Strategy emphasizes SiC and power-semiconductor opportunities, growing consumables and aftermarket sales, and potential acquisitions. Management reported no agreement to acquire a target as of the filing date.
  • The Shanghai facility was fully reopened on June 1, 2022 and returned to normal capacity; management cautions that future government shutdowns cannot be ruled out. Supply constraints, extended lead times and elevated shipping costs remained risks, with shipping pressures expected to continue into FY2023.
  • Other significant risks include semiconductor-industry cyclicality, customer concentration and order timing, competition, international and China exposure, tariffs and export controls, inventory and supplier constraints, foreign exchange, and execution of growth plans.
  • The April 2021 cybersecurity incident exposed certain employee and beneficiary personal information and disrupted a subsidiary’s systems. Amtech recorded $1.1 million of expense in FY2021 and received approximately $0.6 million of insurance reimbursement during FY2022; it reported no indication of misuse.
  • The sale-leaseback of the Massachusetts facility generated a $12.5 million pretax gain and approximately $14.9 million net cash inflow after debt repayment and expenses. The two-year leaseback carries annual base rent of $1.5 million.
  • Management stated that existing liquidity should support operations for at least twelve months. The company reported no material off-balance-sheet arrangements and did not believe pending legal matters would materially affect its consolidated position, results or liquidity.

Important facts for investors to verify

  • How much FY2022 earnings and operating cash generation are sustainable excluding the property-sale gain and timing-related customer deposits?
  • Whether Semiconductor margins recover from the Shanghai disruption and higher input costs, and whether the reported slowdown in order trends continues.
  • Whether backlog converts to shipments and cash on schedule, given its customer concentration and cancellation or delay provisions.
  • Whether FY2023 capacity, product-development and IT investments deliver expected growth without weakening liquidity or returns.
  • Whether supply-chain, export-control, geopolitical and China-related risks affect production, customer access, costs or delivery schedules.

Audit note: The FY2022 financial statements received an unqualified audit opinion. The auditor reported no critical audit matters for FY2022. Management stated that disclosure controls and internal control over financial reporting were effective as of September 30, 2022.
