Anterix Inc. annual report, FY2023

Anterix Inc. — Form 10-K Summary

Reporting period: Fiscal year ended March 31, 2023. Although the request metadata refers to 2022 Q4, this filing is an annual report and does not present standalone Q4 results.

Business context

Anterix is commercializing its licensed 900 MHz spectrum for private broadband networks serving utilities and other critical-infrastructure customers. Its strategy depends on obtaining FCC broadband licenses, clearing incumbent users and leasing or selling spectrum. At March 31, 2023, the FCC had granted broadband licenses for 105 counties, compared with 21 counties a year earlier.

Net cash used in financing activities$(8.1) million$(2.4) million

Revenue was primarily spectrum lease revenue. FY2023 operating revenue rose 77%, including approximately $0.6 million recognized from Evergy and $0.3 million from Ameren. Revenue remains small relative to operating costs; a conventional operating margin is not particularly informative given the company’s early-stage commercialization model.

Net loss improved year over year, partly reflecting a $38.4 million non-cash gain recorded when narrowband licenses were exchanged for broadband licenses in 84 counties, versus an $11.2 million gain on 21 counties in FY2022. The gain is not customer cash revenue. General and administrative expense increased 14% to $45.2 million, including higher stock-based compensation and personnel costs.

Operating cash flow was negative in FY2023, versus positive in FY2022, when substantial customer prepayments increased deferred revenue. FY2023 investing cash use primarily reflected $25.0 million of wireless-license acquisitions and related deposits. The balance sheet reported $98.8 million of total liabilities and $179.8 million of stockholders’ equity; the filing does not identify outstanding debt borrowings as a material funding source.

Material changes and commercial commitments

  • Anterix signed a 20-year Xcel Energy agreement in October 2022, with scheduled initial-term prepayments totaling $80.0 million; $8.0 million was received during FY2023. Remaining amounts are tied to spectrum delivery milestones.
  • Evergy prepaid $30.2 million for its 20-year initial lease term in FY2022. During FY2023, Anterix delivered cleared spectrum and associated licenses for 81 counties and recognized approximately $0.6 million of revenue.
  • For SDG&E, the $50.0 million total agreement includes $20.0 million received upfront and additional payments tied to delivery. Anterix recorded $20.2 million received as a contingent liability because payments may have to be refunded if it fails to deliver or the agreement terminates.
  • In April 2023, after year-end, Anterix entered an agreement to sell spectrum to LCRA for $30.0 million plus select LCRA narrowband spectrum, with payments dependent on delivery.
  • Anterix repurchased 216,000 shares for $8.2 million in FY2023, leaving $26.8 million authorized under its $50.0 million repurchase program at year-end. The program was authorized through September 29, 2023.
  • Motorola converted its investment into 500,000 Anterix common shares in May 2022.

Outlook, risks and unusual items

Management stated that cash on hand and contracted customer proceeds were expected to meet financial obligations for at least 12 months from the filing date. No numerical revenue, earnings or cash-flow guidance is provided. Management noted that additional capital might be needed to execute its plans, and financing may not be available on acceptable terms.

Key risks include delays or higher costs in clearing incumbents and securing FCC broadband licenses; Complex Systems that are exempt from mandatory retuning; customer payment, refund and termination rights tied to delivery milestones; long utility sales cycles and regulatory approval for rate recovery; competition and technology availability; and inflation or other macroeconomic pressures. The company has incurred net losses every year since inception. It reported no material legal proceedings and no impairment charges for indefinite-lived wireless licenses in FY2023. A prior material weakness related to intangible-asset accounting was reported as remediated by March 31, 2022; management and the auditor reported effective internal controls at March 31, 2023.

Investor verification priorities

  • Track broadband-license grants, cleared counties, incumbent-retuning progress and actual delivery against Ameren, Evergy, Xcel Energy and SDG&E milestones.
  • Verify timing and collection of customer payments, particularly SDG&E contingent funds, Xcel Energy’s remaining prepayments and the post-year-end LCRA proceeds.
  • Monitor cash burn, spectrum-acquisition and clearing costs, and whether management’s liquidity assessment remains valid as customer receipts and expenses evolve.
  • Separate cash economics from non-cash license-exchange gains and stock-based compensation when assessing recurring performance.
  • Review the use of the remaining share-repurchase authorization and its effect on liquidity and share count.
