Revenue increased 12.9%, driven by product mix (+5.3%), unit volume (+4.9%) and pricing (+2.6%). Sales and marketing expense rose 1.9%; research and development increased 17.1%, primarily on product development and clinical costs; general and administrative expense decreased slightly. Gross margin improved 1.1 percentage points. Net loss narrowed despite higher reported interest expense, as operating loss improved.
Operating cash outflow increased by $4.8 million year over year, mainly because of less favorable working-capital movements, including inventory and accounts payable and accrued expenses. Investing cash outflow was $3.3 million, and cash, cash equivalents and restricted cash declined $15.3 million during the quarter. At March 31, cash and cash equivalents were $15.7 million, investments $1.9 million, and restricted cash $6.0 million. Working capital was $55.7 million and the current ratio was 3.4x.
Gross debt principal was $50.0 million, comprising tranches due in 2027 and 2028; reported long-term debt, net of discount and fees, was $46.8 million. The stated interest rate was 12.93% at quarter-end, plus revenue participation payments. Management reported compliance with financial covenants. A 100-basis-point increase in the applicable rate would add approximately $0.5 million to annual interest expense, based on quarter-end debt.
Material changes and notable items
- Compared with Q1 2023, revenue and gross profit grew, gross margin expanded, and operating loss narrowed. Interest expense increased to $2.3 million from $16,000; the prior-year quarter’s $2.147 million of Credit Facility interest was capitalized into construction costs, versus none in Q1 2024.
- Axogen retrospectively changed its accounting policy to include shipping and handling costs in cost of goods sold. It also changed certain departmental cost allocations. The 2023 presentation was reclassified; these changes did not affect prior-period revenue, operating loss, net loss or loss per share.
- Stock-based compensation expense increased to $3.9 million from $3.0 million. The company issued performance awards tied in part to Avance BLA milestones and stock-price goals.
- Cash and cash equivalents plus investments declined $13.4 million from December 31, 2023. Inventory increased to $27.6 million from $23.0 million.
Outlook, risks and contingencies
- Management expects existing cash, cash equivalents, investments and product-sale cash flows to fund operations for at least the next 12 months. This is a forward-looking estimate; the company reported $12.3 million of operating cash use in the quarter.
- After a February pre-BLA meeting with the FDA, management said it had alignment on submission modules and approval for a rolling submission. It expects to complete the Avance Nerve Graft BLA in Q3 2024 and anticipates possible FDA approval in mid-2025; timing and approval are uncertain.
- Axogen began a limited Avive+ Soft Tissue Matrix release and expects a full launch in June 2024. Management believes it will be regulated solely under Section 361, but noted the product category is subject to FDA scrutiny and potential regulatory change.
- A potential dispute exists with the lender over the interpretation of Credit Facility make-whole payments. Axogen estimates an alternative interpretation could imply payments of up to approximately $8 million on the first tranche and $4 million on the second at scheduled maturity; prepayment could result in larger amounts. The company’s own scheduled-maturity estimate is approximately zero. The filing does not resolve the interpretation.
- Cook Biotech is an exclusive manufacturer or distributor for certain Axoguard products. Axogen said it does not expect RTI Surgical’s acquisition of Cook Biotech to materially affect the relationship, but loss of access could adversely affect product availability. The company also depends on its processing facilities.
- Economic-development grants have job-creation milestones extended to December 31, 2024, with expiration extended to December 31, 2026; failure to meet requirements could trigger clawbacks. Ordinary-course legal matters were not expected by management to have a material adverse effect, though outcomes are uncertain.
- Management reported effective disclosure controls and no material change in internal control over financial reporting during the quarter. No material changes to the risk factors in the 2023 Form 10-K were reported.
