Material changes and business developments

  • BSI Nano revenue rose 12.8% to $787.0 million, led by industrial and semiconductor metrology demand. BEST revenue rose 5.9% to $237.1 million on strong superconductor demand from MRI manufacturers. BioSpin revenue increased 0.8% to $696.7 million and CALID increased 0.3% to $822.2 million.
  • Geographically, North America revenue grew 16.9% and Asia Pacific 10.4%; Europe declined 8.8%. Europe represented 33.2% of revenue and Asia Pacific 31.8%.
  • FY2022 operating income increased, but CALID segment operating income declined to $196.0 million from $227.2 million, and its operating margin fell to 23.8% from 27.7%. Management cited supply constraints and currency effects on segment revenue; consolidated operating expenses also rose.
  • The company completed several acquisitions, including PreOmics, Optimal Industrial Automation and Technologies, Inscopix, Prolab, PepSep, IonSense and Neurescence. Acquisition-related charges increased to $19.3 million from $6.1 million.
  • Remaining performance obligations were approximately $2,258.8 million at December 31, 2022, up from $2,077.2 million a year earlier. Management cautions that backlog is not necessarily a reliable indicator of long-term revenue.

Outlook, risks and unusual items

  • The filing provides no specific FY2023 revenue or earnings guidance. Management expects existing cash and credit facilities to support operating and investing needs for at least 12 months and estimates 2023 capital expenditures of approximately $130 million.
  • Management identified continuing supply-chain constraints, component shortages, inflation, higher freight and energy costs, foreign-exchange volatility, geopolitical tensions, potential recession, and ongoing COVID-19 disruption as risks. In 2022, price increases did not fully offset inflation costs.
  • Cash generation was affected by inventory build: inventories increased to $800.1 million from $710.1 million. The company reported $377.2 million of fixed, unconditional purchase commitments, most expected to be settled in 2023.
  • FY2022 financing included $263.1 million of cash share repurchases, $29.8 million of dividends and repayment of $105.0 million of 2012 notes. The 2021 repurchase authorization had $94.4 million remaining as of February 22, 2023. The quarterly dividend was raised to $0.05 per share in 2022.
  • Other charges, net were $29.7 million, including acquisition, restructuring, IT transformation and professional costs. No goodwill impairment was recorded. The company ceased its Russian operations, citing sanctions-related and other disruptions.
  • Bruker said ordinary-course legal matters were not reasonably likely to materially affect the business or consolidated financial statements. A German patent infringement complaint by Carl Zeiss was withdrawn in December 2022; a related European patent application remained pending, with a hearing scheduled for Q2 2023.
  • PwC issued unqualified opinions on the financial statements and internal control over financial reporting. Management also concluded disclosure controls and internal control over financial reporting were effective as of year-end; acquired 2022 businesses were excluded from the internal-control assessment.

Most important facts for investors to verify

  • Whether organic growth and the $2.26 billion performance-obligation backlog convert into revenue despite supply-chain and installation delays.
  • Whether inventory levels and working-capital demands ease enough to restore free cash flow, which declined to $145.2 million.
  • Whether gross-margin gains persist as inflation, logistics costs and currency movements evolve, and whether CALID’s operating-margin decline reverses.
  • Debt maturities, covenant headroom, U.S. liquidity needs and the accessibility or tax cost of foreign-held cash; $593.8 million of cash and short-term investments was held abroad.
  • 2023 capital spending, acquisition integration and returns on recent acquisitions and strategic investments.
  • Progress toward required EU IVDR recertification of applicable IVD products, and the outcome of the pending European patent proceedings.
