Outlook, commentary, risks and unusual items
- Management identified expansion of payment and information-processing offerings and the customer base as a key opportunity. It expects cash, maturing investments and operating cash flow to fund operations and capital expenditures; estimated 2014 capital expenditures were less than $5 million.
- Management said persistently low interest rates pressure net interest income as higher-yielding assets reprice, mature or are sold. Economic activity, invoice volumes, energy costs, hiring and retention, and new business opportunities may also affect results and liquidity. Management’s interest-rate policy seeks to limit the change in annualized net interest income to 15% under an immediate, sustained 200-basis-point rate move; management said the risk position had not changed materially from year-end 2013.
- The investment portfolio was approximately 99% state and political subdivision securities. Management considered unrealized losses temporary and stated it was more likely than not the company would not need to sell before recovery.
- One $4.2 million loan was identified for special monitoring in addition to disclosed impaired loans. Management described pending legal proceedings as not expected to have a material effect. Unrecognized tax benefits were approximately $1.4 million; about $251,000 could reverse within 12 months due to statutes of limitations.
- The company made no defined-benefit pension contribution in the first nine months and was evaluating whether an additional contribution would be needed in 2014. The Board increased authorized share repurchases to 500,000 shares on October 20, 2014. The filing gives no earnings or revenue guidance.
- Basel III capital rules were scheduled to take effect for the company and Bank on January 1, 2015, subject to phase-in. Management reported effective disclosure controls and no material change in internal control during the quarter.
Important facts for investors to verify
- Whether processing-volume and fee growth continues, particularly in transportation, and whether energy-sector consolidation continues to affect facility-expense customer retention.
- How interest rates, asset repricing and loan competition affect net interest income and margin.
- Whether loan growth, the specially monitored credit and the allowance remain consistent with credit quality; the company recorded no provision in the period.
- Whether increases in accounts and drafts payable and payments in excess of funding reflect durable processing growth and remain manageable liquidity exposures.
- Potential pension contributions, tax-benefit reversals, capital-rule effects and execution of the expanded share-repurchase authorization.
