Financial position and credit
- Total assets were $1.280 billion at March 31, down 0.5% from December 31, 2012. Loans were $679.890 million, down $7.843 million; available-for-sale securities were $307.507 million, down $34.428 million.
- Deposits were $536.346 million, down 4.9% since year-end; accounts and drafts payable were $542.528 million, up 3.8%. Shareholders’ equity was $176.386 million, up 1.4%.
- No borrowings were outstanding under the disclosed credit lines. Available facilities included $88 million of unsecured correspondent-bank lines, $158.268 million secured by commercial mortgage loans at the Federal Home Loan Bank, and a $50 million secured UMB line.
- The allowance for loan losses was $11.032 million, or 1.62% of loans, versus $12.357 million, or 1.80%, at year-end. Net charge-offs were $1.525 million, compared with $0.207 million a year earlier.
- Nonperforming loans were $0.908 million (0.13% of loans), down from $6.572 million (0.96%) at year-end. Another $14.831 million of loans were subject to special monitoring. The filing reports no loans 90 days past due and accruing and no troubled debt restructurings.
- Regulatory capital ratios remained above stated minimums: consolidated total capital ratio 20.33% and Bank total capital ratio 14.18% at March 31.
Material changes and management commentary
- Transportation invoice transaction volume increased 6.9%; expense-management transaction volume increased 0.9%. Expense-management dollar volume fell 3.8%, mainly amid energy-sector customer retention effects from merger and acquisition activity. Management cited growth in transportation, telecom and environmental activity, partly offset by weaker energy volumes.
- Lower market rates and reduced average earning assets contributed to weaker net interest income and margin. Management noted that low rates generally pressure earnings; higher rates typically support net interest income.
- Salary and benefits expense rose $0.697 million, including higher payroll and pension costs; other operating expense fell $0.779 million, largely due to lower legal expense. The effective tax rate declined to 25% from 27%, primarily due to lower state income taxes.
- Management expected cash, maturing investments and operating cash flows to fund operations and capital expenditures in 2013; estimated capital expenditures were less than $6 million. No earnings or revenue guidance was provided.
- The company reported that it and the Bank exceeded regulatory capital requirements. Its interest-rate-risk policy limits the change in annualized net interest income to 15% under an immediate, sustained 200-basis-point parallel rate change; management said the risk position had not materially changed since year-end.
Risks, contingencies and unusual items
- Market sensitivity includes interest-rate levels, business activity, energy costs and customer transaction volumes. Management also identified loan quality, staffing and the ability to win new business as relevant factors.
- Off-balance-sheet commitments at March 31 included $11.919 million of unused loan commitments, $11.856 million of standby letters of credit and $3.866 million of commercial letters of credit; no estimated losses were accrued. Operating lease commitments totaled $7.926 million.
- Management said pending legal matters were not expected to materially affect financial position or results; no material developments were reported. No material changes to the risk factors in the 2012 Form 10-K were disclosed.
- Unrecognized tax benefits were approximately $1.990 million; about $0.538 million might be reduced over the next 12 months through expiration of statutes of limitation. Federal and state tax years 2009–2011 remained subject to examination.
- The filing reports no impairment of goodwill or intangible assets, no material subsequent events, and no amounts drawn on credit lines. Management expected securities unrealized losses to be temporary and stated it had the ability and intent to hold the affected securities until maturity.
Important facts for investors to verify
- Reconcile the nonaccrual-loan collection disclosures: the note describes a $4.115 million payment on a $4.198 million loan, while MD&A cites a $4.884 million payment; confirm the correct amount and related credit impact.
- Assess sustainability of earnings given the decline in net interest income and margin, and the contribution from higher securities-sale gains.
- Review loan quality, the $1.525 million of net charge-offs, the remaining specially monitored loans and adequacy of the $11.032 million allowance.
- Monitor deposit declines and changes in accounts and drafts payable, as well as the concentration and maturity profile of the investment portfolio.
- Consider pension expense and required future plan contributions: the company had contributed $0.5 million in Q1 and expected to contribute at least another $1.5 million during 2013.
