Material changes versus comparable periods

  • Payment and processing revenue increased 5.0% in Q3 and 9.6% year to date. Transportation invoice dollar volume grew 2.9% in Q3 and 9.0% year to date; utility transaction dollar volume fell 5.2% and 4.3%, respectively, amid lower energy rates.
  • Lower market rates reduced earning-asset yields and net interest margin. Lower loan balances also weighed on interest income; average investment securities increased as Cass bought securities.
  • Operating expenses rose 5.4% in Q3 and 8.7% year to date, mainly from WRC integration, higher salaries and pension expense, and acquired-intangible amortization. Year-to-date pension expense for the defined benefit plan was $2.3 million, versus $1.3 million.
  • Nonperforming loans increased to $4.9 million, or 0.72% of loans, from $1.7 million, or 0.26%, at December 31, 2011. The allowance for loan losses declined to $12.3 million from $13.0 million.

Outlook, risks, contingencies, and unusual items

  • No formal earnings guidance is provided. Management expects cash, maturing investments, and operating cash flow to fund operations and capital expenditures; estimated 2012 capital expenditures are less than $3.0 million.
  • Management identifies interest-rate levels, economic and business activity, energy costs, and new business opportunities as significant factors affecting revenue, earnings, and liquidity. It notes that a low-rate environment tends to depress net interest income.
  • Management reported its interest-rate risk position had not changed materially from year-end 2011. Its policy is to limit the change in annualized net interest income to 15% for an immediate, sustained 200-basis-point parallel rate change.
  • At September 30, unused loan commitments were $12.0 million, standby letters of credit $13.6 million, and commercial letters of credit $4.2 million. No losses were accrued for these instruments. Operating lease commitments totaled $8.3 million; the company also entered a 10-year lease for new headquarters, with the move expected in Q1 2013.
  • Management believes pending legal matters will not materially affect financial position or results. Unrecognized tax benefits were approximately $2.35 million; about $0.49 million could be reduced over the next 12 months due to statute expirations.
  • The Board declared a 10% stock dividend on October 15, 2012, payable December 14 to holders of record December 5. The filing reports no impairment of goodwill or intangible assets during the periods presented.

Important facts for investors to verify

  • Whether the increase in nonperforming loans and special-monitoring credits signals further deterioration; special-monitoring loans totaled $13.4 million.
  • Whether continued low interest rates or competitive pressure on lending will further reduce net interest income and margins.
  • Whether WRC’s acquired business grows sufficiently to offset integration, compensation, pension, and amortization costs.
  • Whether the securities portfolio’s long maturities and concentration in state and political subdivision securities affect liquidity or valuation; 76.6% of the portfolio matured in five or more years.
  • Actual capital spending, lease-related costs, and the impact of the declared stock dividend.
