Financial condition and material changes
- Total assets were $1.274 billion at March 31, down $45.787 million from year-end. Loans were $690.357 million, up $18.792 million; deposits were $515.916 million, down $32.452 million. Accounts and drafts payable were $574.990 million, down $20.210 million.
- Shareholders’ equity was $163.379 million, up $2.831 million. The increase reflected net income, partly offset by dividends and a $1.528 million increase in accumulated other comprehensive loss.
- No borrowings were outstanding on the disclosed credit lines. Available lines included $88 million of unsecured correspondent-bank lines, a $123.158 million secured Federal Home Loan Bank line and a $29.750 million secured federal funds line.
- Regulatory capital ratios remained above stated minimums. At March 31, Cass reported total capital of 18.38% and Tier 1 capital to average assets of 11.62%; the Bank reported 13.03% and 10.12%, respectively.
Management commentary, outlook and risks
- Transportation transaction volume increased 3.0% and dollar volume 17.8%; utility transaction volume rose 7.4%, while utility dollar volume fell 3.6%, attributed to an unusually mild winter. Management cited new business and improved activity from existing customers.
- Lower interest rates reduced asset yields and net interest margin. Management noted that low rates can depress net interest income and that interest-rate levels, economic activity, energy costs and new business opportunities may affect results and liquidity.
- Operating expenses rose 12%, principally from higher salaries and benefits, including pension costs; WRC-related amortization; and increased promotional and litigation expenses. A $966,000 gain on securities sales also contributed to reported income.
- Credit quality worsened from year-end: nonperforming loans increased to $7.629 million, or 1.11% of loans, from $1.738 million, or 0.26%. The quarter included $207,000 of net charge-offs. The allowance was $12.947 million, or 1.88% of loans. Management identified an additional $6.886 million of loans for special monitoring.
- Management expected cash, maturing investments and operating cash flows to fund operations and capital expenditures in 2012; estimated capital expenditures were less than $3 million. No formal earnings guidance was provided. Management said its interest-rate risk position had not materially changed and its policy limits the modeled change in annualized net interest income to 15% for an immediate, sustained 200-basis-point rate shift.
- Unused loan commitments were $11.475 million; standby and commercial letters of credit were $16.408 million and $3.985 million. No estimated losses were accrued for these instruments. Management believed pending legal matters would not materially affect financial condition or results; the Asentinel patent lawsuit was settled and dismissed with prejudice on April 11, 2012.
Important facts for investors to verify
- Whether the increase in nonperforming loans and the $6.886 million special-monitoring pool lead to further provisions, charge-offs or collateral losses.
- How much reported revenue and earnings growth reflects underlying processing activity and the WRC acquisition versus the $966,000 securities gain.
- Whether persistently low rates, loan competition and funding-balance fluctuations continue to pressure net interest income and liquidity.
- The pace of WRC integration, related amortization and expenses, and the expected benefits to Information Services.
- Future pension contributions and the status of $2.188 million in unrecognized tax benefits, including the potential reduction from expiring statutes of limitations.
