Q3 licensing and related revenue was $13.9 million, down 25%; royalties were $10.1 million, down 11%. For the first nine months, licensing revenue fell 18% to $45.7 million and royalties fell 20% to $27.5 million. Connectivity products generated 86% of Q3 revenue and 83% of nine-month revenue.

For the nine months, operating cash flow was negative $11.1 million, compared with positive $3.5 million in 2022. Investing cash flow was positive $7.2 million and financing cash flow positive $0.4 million; cash and cash equivalents decreased $3.6 million. At September 30, cash and cash equivalents, short-term bank deposits, and marketable securities totaled $131.7 million, versus $146.5 million at December 31, 2022. Marketable securities were $104.2 million, with approximately $5.8 million of unrealized losses. No borrowing debt is reported; operating lease liabilities totaled $7.2 million.

Material changes versus the prior comparable period

  • Revenue declined 20% in Q3 and 19% for the first nine months, mainly reflecting slower licensing activity, weaker handset and PC demand, and customer inventory adjustments. Management also cited slower startup funding and decision-making.
  • Q3 gross margin improved to 90% from 81%, principally because the prior-year quarter included impairment charges and Q3 2023 had lower cost of revenue. Nine-month gross margin was unchanged at 87%.
  • Q3 operating expenses declined to $24.4 million from $26.7 million, partly because 2022 included a $3.6 million impairment charge for Immervision technology. Nine-month operating loss worsened to $10.7 million from operating income of $2.9 million.
  • Income tax expense was $1.1 million in Q3 2023 versus $17.9 million in Q3 2022. The prior-year period included a $15.6 million valuation allowance charge on certain deferred tax assets, helping explain the improvement in reported net loss despite weaker revenue.
  • Intrinsix recorded discontinued-operation losses of $2.2 million in Q3 and $5.3 million for the first nine months. CEVA acquired the VisiSonics spatial-audio business for $3.6 million in May 2023.

Outlook, management commentary, and risks

Management said Q3 licensing revenue was in line with expectations and noted 13 IP licensing deals in the quarter, all for wireless communications applications. CEVA also reported its second-highest quarterly volume of CEVA-powered device shipments; customer-reported chipset shipments incorporating CEVA technology rose 40% year over year in Q3 but fell 12% for the first nine months. Management highlighted continued opportunities in Bluetooth, Wi-Fi, 5G, AI, and sensor technologies, but provided no specific financial guidance in the supplied filing text.

Management believes available cash, deposits, marketable securities, and operating cash flows are sufficient to fund operations for at least 12 months, while cautioning that revenue and expense assumptions may not prove accurate. It expects continued customer concentration; the five largest customers represented 53% of Q3 revenue and 30% of nine-month revenue.

Risks include semiconductor-market cyclicality, weak handset and PC demand, customer inventory adjustments, reduced startup funding, and reliance on a limited customer base. CEVA said its Israeli operations remained largely unaffected by the Israel-Hamas war as of the filing, but employee reserve duty, travel disruption, or worsening hostilities could disrupt operations; insurance does not cover losses associated with the regional security situation. The investment portfolio is exposed to interest-rate, market-value, and financial-institution risks. The company reported no legal proceedings it believed would have a material effect and stated that disclosure controls were effective at September 30, 2023.

On November 7, 2023, the board authorized an additional 700,000 shares for repurchase, bringing shares available for repurchase to approximately 840,000. The company had repurchased 135,078 shares for $3.0 million during the first nine months of 2023.

Important facts for investors to verify

  • Track whether licensing activity and royalties recover, particularly given weaker handset and PC demand and slower customer design starts.
  • Review the cash-flow trend and post-quarter Intrinsix sale proceeds, including escrow and any purchase-price adjustments or indemnification claims.
  • Assess the $5.8 million unrealized marketable-securities loss, investment concentration, and exposure to interest rates and financial institutions.
  • Monitor customer and royalty concentration, and potential operational effects of the Israel security situation.
  • Confirm the basis and timing of taxes, including deferred-tax-asset realizability and the continuing effects of U.S. R&D capitalization rules.
