Cognex Corporation — 2015 Form 10-K
Reporting period: Fiscal year ended December 31, 2015. This is an annual report, not a standalone fourth-quarter filing; selected Q4 results are included below. Cognex supplies machine-vision products used primarily in manufacturing automation. Following the sale of its Surface Inspection Systems Division (SISD), the company reports one segment, machine-vision technology. Prior-period comparisons exclude SISD as a discontinued operation.

- Revenue increased 6% as reported and approximately 11% at constant currency. Factory-automation revenue grew 12% at constant currency; semiconductor/electronics capital-equipment revenue fell 7% on that basis.
- Operating expenses rose 11%, led by higher research, development and engineering (RD&E) spending, personnel costs and stock compensation. RD&E was $69.8 million, or 15% of revenue, versus $55.8 million, or 13%, in 2014.
- Cash-flow decline reflected, among other items, working-capital movements. Capital expenditures were $18.2 million. The company had no long-term debt and said existing cash and investments plus operating cash flow should cover the next 12 months.
- Current-quarter results: Q4 2015 revenue was $97.8 million, operating income $19.1 million, continuing-operations net income $18.9 million and diluted continuing-operations EPS $0.22. Q4 2014 revenue was $98.5 million, operating income $25.1 million, continuing-operations net income $22.7 million and diluted continuing-operations EPS $0.26.
Material changes and unusual items
- On July 6, 2015, Cognex sold SISD to AMETEK for $155.7 million cash. It recorded a $125.4 million pretax gain and $78.2 million after tax; net sale proceeds were $104.4 million. Total 2015 net income therefore includes a substantial discontinued-operations gain and is not representative of continuing operations alone.
- Foreign exchange, particularly the euro and Japanese yen, reduced reported revenue and pressured gross margin. Constant-currency revenue growth was approximately 11%, compared with 6% reported growth.
- The effective tax rate on continuing operations was 15% versus 16% in 2014; both periods included discrete tax benefits. The 2015 rate included tax-accrual true-ups, statute expirations and the retroactive R&D tax credit.
- Stock repurchases totaled $126.4 million in 2015. Cognex paid $0.21 per share in dividends and authorized another $100 million repurchase program in November, which was to begin after completion of the August program.
- The company acquired selected Manatee Works assets for $1.0 million cash and recorded a $3.0 million contingent-consideration liability at year-end, with potential additional payments of up to $5.0 million.
Outlook, commentary and risks
- No specific revenue or earnings guidance is provided in the filing. Management expects continued significant RD&E investment and targets RD&E spending of 10%–15% of revenue, subject to revenue levels and investment cycles.
- Management identified factory automation as the main growth opportunity, including logistics automation and image-based barcode reading. It cited Greater China and Europe as leading sources of factory-automation growth in 2015.
- Customer concentration is significant: one customer, identified in the risk discussion as Apple, accounted for 18% of revenue in 2015, up from 16% in 2014. The filing notes extended credit terms and advance inventory purchases associated with this customer.
- Other key risks include global manufacturing investment and economic conditions; exposure to consumer electronics and automotive demand; foreign-exchange fluctuations; execution in newer logistics markets; dependence on a contract manufacturer in Indonesia and certain single-source components; product-transition and inventory risks; competition and technology change; and acquisition, tax, litigation and cybersecurity risks.
- The Microscan patent dispute was settled for $3.5 million; $1.7 million was recorded as a license asset and the remaining $1.8 million as expense. Other routine claims, including retained liabilities related to SISD, remained; management did not expect them to materially affect results or liquidity.
- Grant Thornton issued an unqualified audit opinion on the financial statements and internal controls. Management also concluded disclosure controls and internal control over financial reporting were effective at year-end.
Important facts for investors to verify
- How much of future growth and earnings depends on the customer contributing 18% of 2015 revenue, and whether customer-specific pricing, credit and inventory terms affect margins or cash conversion.
- Whether continuing-operations growth can translate into improving operating income and margins after 2015’s higher RD&E and personnel investment.
- Whether cash from operations recovers from $118.4 million and how working-capital needs, repurchases and dividends affect the $621.5 million cash-and-investment balance.
- Whether logistics automation and other newer applications deliver the growth management anticipates, and whether foreign-exchange headwinds persist.
- The progress and financial effects of SISD-related retained liabilities, Manatee milestone payments, and any future tax or investment impairment exposures.
